Articles: The articles of the Constitution are those separately marked sections or clauses, which specify the purpose or other terms and conditions of the Association. The articles are the rules and regulations by which the Association will work. b. Bylaws: The purpose of the bylaws is to help define the rules and regulations. As such, they are subsidiary to the articles of the Constitution and must be drafted in a manner, which, in the opinion of the organization, seems best suited to meet its requirements. c. Annexures: annexures are supplementary documents, forms, … and tools enclosed to this Constitution to help imposing it or clarifying its content. They shall not have any legal value nor to replace both Articles and Bylaws and their use. Annexures can be added, removed, or amended by a majority vote of the Local board of directors, and they shall be effective on the 1 st day of the following month to the fifth (5th) day from the date of meeting in which they were voted. CHAPTER I: NAME ARTICLE 1-1. NAME: The association shall be known as JCI Aleppo (or in Arabic: “ )”الغرفة الفتية الدولية حلبand hereinafter in this Constitution shall be referred to as “the Organization”. CHAPTER II: EMBLEM ARTICLE 2-1. EMBLEM: The JCI logo should appear unaltered in JCI Aqua with the Local or national name appearing below it in 75 pt. Helvetica Neue type (#0097D7). The text color displaying the Local or national organization name should be JCI Gold (#EDBE38), which shall be reproduced according to the latest “JCI Corporate Identity Guidelines” published by JCI as below: BYLAW 2-2. RESTRICTIVE USE: The use of the name, initials, and emblem of the Local Organization and those of JCI shall be restricted to properly affiliated members of the Local Organization and shall not be used by others without the written consent of the Local President. 6 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| CHAPTER III: AFFILIATION ARTICLE 3-1. AFFILIATION: The Local Organization shall be (and is hereby) affiliated with JCI Syria and JCI (Junior Chamber International, Inc.), and this shall involve: 1. Acceptance of the JCI Declaration of Principles and Purposes (JCI Creed), which reads as follows: “We believe: ▪ That faith in God gives meaning and purpose to human life; ▪ That the brotherhood of man transcends the sovereignty of nations; ▪ That economic justice can best be won by free men through free enterprise; ▪ That government should be of laws rather than of men; ▪ That earth's great treasure lies in human personality; ▪ And that service to humanity is the best work of life." 2. Compliance with the Constitution of JCI Syria and JCI insofar as this affects the function of this Local Organization. ARTICLE 3-2. HOST STRUCTURE: JCI Syria is established as the youth economic committee within the National Committee of the International Chamber of Commerce Syria, and it operates under its legal umbrella. Although JCI Syria (and accordingly its Local Organizations) enjoys administrative and financial autonomy, National and member Local organizations should still comply with the rules and constitution of the host structure. CHAPTER IV: PURPOSE ARTICLE 4-1. JCI VISION: JCI Vision is “to be the leading global network of young active citizens”. ARTICLE 4-2. JCI MISSION: JCI Mission is “to provide development opportunities that empower young people to create positive change”. ARTICLE 4-3. PURPOSES OF THE LOCAL ORGANIZATION: The purposes of the Local Organization, besides working towards the accomplishment of the JCI Mission, shall be: Developing Leaders for a Changing World as per JCI’s new global direction 2022.Developing enterprising young leaders for This fast-changing world as the external perspective. Focus on what we do best – value-driven proactive actions that bring about long-term economic and societal growth 7 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| ARTICLE 4-4. POLITICS: This Local Organization shall refrain from any partisan political activity, and its members will avoid mixing their personal activities with their JCI activities in the sense that the general public might infer that the Organization is politically oriented in one way or another. ARTICLE 4-5. RELIGION: This Local Organization shall refrain from sectarian or religious activities, and its members will avoid mixing their personal activities with their JCI activities in the sense that the public might inferthat the Organization is religiously oriented in one way or another. ARTICLE 4-6. HUMAN RIGHTS: This Local Organization, in affirming its Declaration of Principles, which is based on the ideals expressed in its Creed, recognizes the Universal Declaration of Human Rights. The Universal Declaration of Human Rights is commended to National Organizations as an example of the promotion of universal respect for, and observance of, human rights, freedoms, and equality. ARTICLE 4-7. RIGHTS OF THE CHILD: This Local Organization, in affirming its Declaration of Principles, recognizes and supports the United Nations Declaration of the Rights of the Child, and recommends that it and its members conduct permanent and continuing programs which assist with providing for one or more of the basic needs of children as set out in the Declaration: THE RIGHT to affection, love and understanding; THE RIGHT to adequate nutrition and medical care; THE RIGHT to free education; THE RIGHT to full opportunity for play and recreation; THE RIGHT to a name and nationality; THE RIGHT to special care, if handicapped; THE RIGHT to be among the first to receive relief in times of disaster; THE RIGHT to learn to be a useful member of society and to develop individual abilities; THE RIGHT to be brought up in a spirit of peace and universal brotherhood; THE RIGHT to enjoy these rights regardless of race, colour, sex, religion, national or social origin. ARTICLE 4-8. WORLD PEACE: This Local Organization, recognizing the fundamental goal of the founder, Henry Giessenbier Jr., shall commit itself to strive for a true and everlasting world peace. ARTICLE 4-9. ENVIRONMENT: To preserve earth for future generations, the Organization aims to reduce its ecological footprint through a zero-waste framework. 8 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| ARTICLE 4-10. SUSTAINABLE DEVELOPMENT GOALS: The organization, through all its activities, shall contribute to the realization of the Sustainable Development Goals and Agenda 2030 for the good and welfare of humanity. CHAPTER V: MEMBERSHIP ARTICLE 5-1. QUALIFICATIONS: Individual membership in this Organization shall be open to young persons of good moral character in respect to Article 5-2 and Bylaws 5-3. ARTICLE 5-2. AGE LIMIT: The Local Organization shall maintain age limits of not less than eighteen (18) and not more than forty (40) years for individual members, providing that membership shall continue until the end of the calendar year in which the person reaches the age of forty (40) years, with the exception that the Immediate Past President may serve in that capacity for not more than one (1) year. BYLAW 5-3. REQUIREMENTS AND ADMISSION PROCEDURE: Individuals willing to join JCI through the Local Organization should meet the following requirements and pass through the admission procedure: 1. Applications shall be submitted in hard or soft copies to official JCI Aleppo channels. 2. Each applicant shall have two references out of current active members in good standing according to the latest quarter membership evaluation or Senators of the Local Organization, after their consent Active members have a quota to support new members’ application based on their years of membership, as shown in the tablebelow. < 1 year since membership = 0 referred applications 1 up to 2 years of membership = 2 referred applications 3 to 5 years of membership = 3 referred applications + 5 years of membership = 5 referred applications 3. All applications should be transferred to the admission committee for the selection process identified, based on the recruitment and growth plan provided by the Local board. 4. Accepted applicant shall pay both the enrolment fee and applicable dues for the current year in no more than Fifteen (15) days from the date of notification of the decision of their application. 5. Before being officially recognized, all new members shall attend an orientation session and meet all additional requirements as set in the Local Organization’s policies and outlined in the membership application. If no orientation session has been conducted in a thirty (30) day period of the notification, this condition is automatically waived. 6. Finally, to pass the probationary period successfully. 9 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| ARTICLE 5-4. ADMISSION COMMITTEE: In order to ensure transparency and impartiality with all applicants, the President in coordination with the Immediate Past President should formulate one or more admission committees chosen from the active members of the Advisory Group lead by the Immediate Past President. The aim of this committee is to interview all applicants for membership at the Local Organization and to decideon their membership request (to accept or reject their admission) against the recruitment and growth plan provided by the Local board. Local Secretary General with the Executive Vice President should facilitate the work for this committee by providing them a copy of the applications, admission criteria, and arrange interview appointments for the applicants, while Local president can attend their meetings as an observer. BYLAW 5-5. RECRUITMENT AND GROWTH PLAN: At the beginning of the year, the Local board shall identify their recruitment and growth plan (in terms of number, skills, age, gender, education, background...) and communicate it to the general assembly. The plan shall reflect the membership needs of the Organization and its plan of action. BYLAW 5-6. PROBATIONARY PERIOD: During the first three (3) months of affiliation, a member will be on a probationary period during which the member should participate in Local Organization activities, and at least attend one area meeting in each of the four areas of opportunities, participate in one project, and attend the Official JCI Fundamental Trainings. Failure of the board to provide enough such opportunities will automatically waive these requirements. During the probationary period, new members shall not enjoy any voting rights, while they shall be liable to all obligations including payments of dues. After this three-month period, the Board of Directors will confirm or deny their membership. BYLAW 5-7. MEMBERSHIP STANDING: Section 1- Good Standing: Members in good standings within the Local Organization are those who have paid their dues by the deadline set in Article 13-1 and have fulfilled the Good Standing evaluation requirements as described in Bylaw 5-8. Section 2- Associate Standing: Members who have paid their dues by the deadline set in Article 13-1 but failedto comply with the membership standing requirements as specified in Bylaw 5-8, will become members in associate standing. Associate members are not considered to be in good standing with the Local Organization and are not part of the general assembly composition as defined in Article 6-4. As such, they do not hold the right to vote or be nominated for any position. The Board of Directors must notify members who become in associate standing about the change of their status within the Local Organization. Section 3- Bad Standing: All members failing to achieve the membership standings as set in Bylaw 5- 7 Sections 1 & 2 are considered members in bad standings. BYLAW 5-8. MEMBERSHIP STANDING EVALUATION: To determine the membership standing of every member, the Board of Directors shall hold quarterly evaluation meetings. A three (3) month period shall be the minimum evaluation time for all individual members before determining their standing within the Local Organization. 10 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| Clear criteria for evaluation should be identified by the Local Board of Directors, communicated to the members, and approved by the General Assembly at the Complementary Meeting in winter. The criteria if not else identified can be the following for quarterly evaluations: Participation in the Organization of at least One (1) project in any area of opportunity. Attending at least Two (2) of the regular meetings of any area of opportunity. Attending at least Two (2) functions organized by the Local Organization such as trainings, lectures, and social gatherings. Members assigned to a specific task on Local, national, or international level should be evaluated based on the good conduction and delivery of these tasks. Their evaluation should be sent by the direct elected supervisor or the National President in case of national and international officers or appointees. Failure to keep track of the members’, participation conducting quarterly evaluation meetings, setting up evaluation criteria or having clear procedures shall waive this requirement and grant all members who have paid their dues a good-standing membership status. The Board may, by a unanimous vote, exempt members with special contributions to the Local Organization from the criteria set above. ARTICLE 5-9. RESIGNATION: Any member may terminate association with the Local Organization immediately through a written notice of this wish to the Local Organization official Email, after closing pending tasks, complete handover, and being financially clear with the Local Organization with no possible refund of dues already paid. ARTICLE 5-10. DISQUALIFICATION: Section 1. When the majority (50%) of the members of the Board of Directors are of the opinion that a member is no longer qualified for membership to the Local Organization, the Board of Directorsmay request from the Advisory Group to investigate the case and report their findings. The report shall be shared with the General Assembly, and the decision to suspend or terminate the membership of that member will be taken by a majority vote at the next meeting of the General Assembly. Under certain circumstances, the advisory group may recommend that voting be taken by mail ballot, in order to make fast decisions. Section 2. In compliance with Bylaw 5-7, any Individual Member whose dues or financial obligations are in arrears for more than thirty (30) days shall not be entitled to vote at meetings of the Local Organization. A member whose dues are more than ninety (90) days in arrears shall automatically cease to be a member. BYLAW 5-11. MEMBERSHIP SUSPENSION OR CANCELLATION: Section 1- Suspension: Any members in bad standing as defined by Bylaw 5-7 Section 3 will have their membership suspended. Suspension decision shall be communicated in written to the individual member and becomes active after fifteen (15) days of this notification if no correction action has been taken (paid the Annual Membership dues). 11 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| Section 2- Termination: If a member with suspended membership fails to regain good or associate standing by the end of the suspension period, the membership will be cancelled, and the member will be asked to apply as a new member if they wish to return to the Local Organization. Section 3- Voluntary Suspension: All members who due to extraordinary circumstances such as travel, illness or other, can, upon their written request and Board and Directors’ approval, have their membership voluntarily suspended for any given period of time not exceeding one year. During this period, the member loses their right to vote or be nominated for a position until the suspension is over. However, they will not have their membership subject to cancellation as per Bylaw 5-10 section 2. If the circumstances extend beyond one year, the member must submit a new suspension request to the Board. Section 4- Moving between Local Organization: No individual can be member of more than one Local organization. Official transfer into another organization would lead to automatic disqualification of membership from the Local organization. Members from other Local organizations who wish to transfer their membership into the Local organization shall lodge their request in written by the Secretary General for a majority vote of the Local Board of Directors. The final membership is subject to payment of both the enrolment fee and the applicable dues of the current year. BYLAW 5-12. JCI SYRIA ALUMNI: SECTION 1. ELIGIBILITY: Any Individual Member reaching the age limit of JCI shall be eligible for membership as JCI Alumnus, which may be granted upon payment of the required annual dues. SECTION 2. RIGHTS: JCI Alumni shall be entitled to all the rights and privileges of active Individual Members, except the right to vote, hold office or be counted in any vote totals. SECTION 3. PROCEDURE: The procedure for membership, renewal, and the dues payable shall comply with JCI International Constitution and Policy Manual. ARTICLE 5-13. HONORARY MEMBERS: Subject to the approval of the majority of the General Assembly, the Organization may recognize outstanding citizens who have contributed to the community and the Organization as honorary members of the Organization. This membership does not give the recipient any rights that are exclusive to the active members of the Organization. Moreover, Honorary members are exempted from paying the dues and attending meetings. CHAPTER VI: GENERAL ASSEMBLY ARTICLE 6-1. SUPREME AUTHORITY: The General Assembly shall constitute the supreme authority of the Local Organization. It shall control the affairs of the Local Organization and shall retain all rights and privileges not specifically assigned to the Board of Directors, the President, or any other Local Organization officer. 12 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| BYLAW 6-2. EXCLUSIVE PREROGATIVES: The General Assembly shall have the exclusive prerogative to vote on any and all of the following matters: 1. Election of all Elective and Appointed Local Officers. 2. Approval of the Local Plan of Action for the ensuing year. 3. Approval of the Local budget for the ensuing year. 4. Approval of the Strategic Plan and Reports (including those derived from the National Organization). 5. Amendments of the Local Organization Constitution. 6. Dismissal of the Local Board of Directors, one or more of its elected and/or appointed officers by a vote of two thirds of the members (2/3) and in case of non-fulfilment or misuse of the duties of the office. BYLAW 6-3. SPECIFIC RESPONSIBILITIES: The General Assembly shall receive and act upon reports and recommendations referred to it by the Board of Directors or any member of that body and: 1. To receive the annual reports of the members of the Board of Directors 2. To receive the accounts for the year (including: Members data, M&E reports, financial reports, Annual statement, and inventory reports). 3. To transact any other business appropriate to a general meeting. ARTICLE 6-4. COMPOSITION: The General Assembly shall be composed by all members in good standing at the time of any meetings. Associate members can also attend General Assembly meetings as observers with no voting rights but can enjoy speaking rights (including raising motions). As per Bylaw 5-7 Section 3, all other members and the Senators who are not present at the General Assembly Meeting are not part of the General Assembly. ARTICLE 6-5. VOTING: At any meeting of the General Assembly, each individual member in good standing and present shall be entitled to one vote. Voting shall be by a show of hands, except for election of the Local Organization Officers or unless a secret ballot be demanded by the president or at least one-third (1/3) of the members present and voting. ARTICLE 6-6. PROXIES: Proxies shall not be recognized, and no person may cast more than one vote. BYLAW 6-7. MAJORITY: Unless otherwise provided, all matters to be determined by General Assembly shall be by a simple majority of votes cast (%50) 13 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| BYLAW 6-8. CASTING VOTE: The Local President shall have the casting vote in cases of equality votes, except in the case of election of Local Organization Officers. In such a case, voting should be repeated and if after three rounds of voting the equality of votes remains, then a coin toss will determine the outcome of the vote. ARTICLE 6-9. QUORUM: At any meeting of the General Assembly, having fifty percent (50%) of the total membership in good standing as defined in Bylaw 5-6 Section 1 shall constitute a quorum. BYLAW 6-10. DATE: The General Assembly of the Local Organization shall be held twice per year: The Annual General Assembly in a date between the 1st of September and the 15th of October of each year. A Complementary General Assembly in a date between the 1st of January and the 15th of February of each year. The exact date of the General assembly annual meetings is decided by the Board of Directors. BYLAW 6-11. BUSINESS: Whereas General Elections must take place during the annual General Assembly in Autumn, all other unfinished business (fulfilment of vacancies, Approval of accounts, and acceptance of new year plans) shall be dealt with during the Complementary General Assembly in winter. ARTICLE 6-12. SPECIAL GENERAL MEETINGS: Special General. Meetings may be called at any time by the President, One third (1/3) of Board of Directors, or at the request in writing of one third (1/3) of the membership in good standing. The object of such a meeting must be stated at the time of requisition, and not less than fourteen (14) days’ notice of such a meeting must be given to all members of the Local Organization, and it’s conditional on achieving the GA Meeting quorum. BYLAW 6-13. NOTICE: Written notice of the Annual Meeting of the General Assembly should be dispatched by the Secretary General to every individual member at least thirty (30) days prior to the date of the said meeting followed by an agenda showing the business to be conducted and a list of those eligible for election to the Board of Directors at least seven (7) days of General Assembly date. However, for special meetings of the General Assembly, and in compliance with Article 7-2 written notice should be dispatched by the Secretary General to every individual member at least fourteen (14) days prior to the date of said meeting along with an agenda showing the business to be conducted. BYLAW 6-14. CANCELLATION: The General Assembly can only be cancelled for unexpected events. The General Assembly must be rescheduled as soon as possible after the initial date. 14 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| BYLAW 6-15. NO QUORUM: In the event where the quorum defined in Article 6-9 in an annual general assembly meeting is not achieved, the Board of Directors will suggest a new date and time for the Annual General Assembly to be approved by a majority of membership present and no quorum shall be needed at this rescheduled meeting. CHAPTER VII: MEMBERSHIP MEETINGS ARTICLE 7-1. OTHER GENERAL MEETINGS: The Local Organization shall hold regular membership meetings on at least quarterly basis. A plan for membership meetings, Area meeting and Sub-area meetings shall be sent at the beginning of the year to all members. CHAPTER VIII: OFFICERS ARTICLE 8-1. ELECTED OFFICERS: The elected Officers of the Local Organization shall be: 1. President. 2. Executive Vice president 3. Four (4) Vice Presidents. 4. Treasurer ARTICLE 8-2. APPOINTED OFFICERS: Subject to the approval of the General Assembly, Local president shall appoint one (1) Secretary General to join the Local Board of Directors and serve as an Officer for the whole year. ARTICLE 8-3. IMMEDIATE PAST PRESIDENT: In addition to the elected and appointed Officers, the Immediate Past President shall be an Officer of the Local Organization and will serve as Legal Counsel. ARTICLE 8-4. DUTIES: The Officers of the Local Organization shall carry out duties assigned by the President or as stipulated in this Constitution. BYLAW 8-5. NOMINATIONS: 1. All nominations for elective offices must be made on the prescribed form and forwarded by Local Organizations to the Secretary General at least ten (10) days prior to the General Assembly. Nominations shall be in writing, stating the name of the nominee and the office for which the nominee is standing. They must also be supported by two members in good standing. 2. If no nominations for a position have been received in writing by the time of election, the President may seek verbal nomination from the General Assembly. BYLAW 8-6. NOMINATIONS COMMITTEE: Section 1. COMPOSITION AND ROLE: Thirty (30) days before the date of the general assembly in which an election is taking place, the President shall request from the advisory group to name a Nominations Committee to examine the eligibility and qualifications of each nominee for the particular office 15 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| sought. The Committee, consisting of active members of the advisory group, shall be chaired by the Immediate Past President and shall report its findings to the General Assembly. Section 2. PROCEDURE: Each nominee shall appear personally before the Nominations Committee and proceed an assessment as set and communicated. The nomination procedure may include (a written test, candidates training, interview, caucus, meet the candidate…). ARTICLE 8-7. ELECTION: Each Officer designated in Article 8-1 must be elected by a majority of votes cast Fifty percent (50%) at a General Assembly Meeting. ARTICLE 8-8. PERIOD OF OFFICE: All elected and appointed Officers shall hold office for a period of one (1) year commencing the first day of January following their election. In the case of appointment after the first day of January, the period of office will only be for the remaining part of the year of operation. ARTICLE 8-9. SUCCESSION: No Officer may hold the same office for more than one term. However, at the discretion of the President, an Officer shall be permitted to be elected or appointed to a full term in the same office if: 1. That Officer was appointed or elected to the office during the year and will have not served more than nine (9)months in such office prior to December 31. 2. For a valid reason accepted by the President, that Officer was obliged to resign before completing the term of office. BYLAW 8-10. QUALIFICATIONS: Section 1. Restrictions: In compliance with Article 8-9, No Officer shall be eligible to hold the same office for more than one (1) term. A person may be re-elected to the Board of Directors, but would not be eligible for re-election or reappointment to any office already held before Section 2. Age: No person shall be elected or appointed who will reach the fortieth (40 th) birthday prior to assuming office. Section 3. Member: Every nominee for election shall be, at the time of the nomination, an individual member of the Local Organization for at least Twelve (12) month, and must be current in the payment of dues to the Local Organization or any other financial obligations. Section 4. Meeting Attendance: Unless excused by the President for valid reasons, every nominee for election shall be in attendance at the General Assembly meeting at which that individual is a nominee. 16 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| Section 5. Chapter Experience: Every candidate shall have the Local Organization experience (i.e., successfully served as a Project Chairperson, Director, Commission Director, appointed, elected officer prior totheir nomination). Section 6. Specific Qualifications: I. for the candidate for Local President: The candidate for President shall have served at least Two (2) years on the current or past Local Board of Directors, as an Executive Board Member and as a Vice President, and attended at least one National Convention. II. for the candidate for Executive Vice President: The candidate for Executive Vice President shall have served at least One (1) year on the current or past Local Board of Directors. III. for the candidates for Vice Presidents: They should have the area experience (i.e., a JCI trainer for VP individual, understanding of each area needs for the candidates for VP Community, International and Business). Section 7. Officer training: All candidates shall commit to the active participation in an officer training if they got elected. Section 8. Elections Dues: All candidates should pay the election dues (100.000 SP) to the Local treasurer at least seven (7) days priorto the meeting in which election is sought. Section 9. Financial Clearance: All candidates should be financially clear against the Local organization. all unpaid dues or financial obligations shall be paid to the Local treasurer at least seven (7) days prior to the meeting in which election is sought. BYLAW 8-11. UNMET QUALIFICATION: During the General Assembly meeting, in which no candidate for an office is meeting the requirement set in Bylaw 8-10. Requirements are automatically waived by the following sequence (Section 6, then 5 and then 3). BYLAW 8-12. EMERGENCY: In the event of the cancellation of the annual meeting of the General Assembly due to a force majeure, the Officers may remain in office beyond the term set out in Bylaw 8-5 until elections can be held. BYLAW 8-13. VACANCIES: Section 1. Vacancies in all offices other than that of President may be filled through elections in a General Assembly Meeting. Or through appointment by the President, subject to the approval of the General Assembly by mail ballot Section 2. A call for a special meeting of the General Assembly to elect a new officer to fill the vacant position should be proceeded in no more than Three (3) months period from the notification of the vacancy. Any member thus elected or appointed shall hold office for the unexpired portion of the term of office of the original holder. Section 3. Upon the death, disability, resignation, or other disposition that shall prevent the President from serving, The Executive Vice President shall assume the presidency for the duration of the term for which the President had been elected, subject to the approval of the General Assembly in a maximum Forty-five (45) day period, and the General Assembly will be managed by the Immediate Past President. ARTICLE 8-14. CONFLICTING OFFICE: No elected nor appointed Officer of the Local Organization shall hold another office in the Local nor the National Organization, with the exception that the Immediate Past President of a Local 17 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| Organization who shall not be considered an Officer of a Local Organization for the purpose of this bylaw. BYLAW 8-15. OATH: All elected Officers shall take the following Oath or Solemn Declaration of Office to be administered by the President at the Annual General Meeting or, if necessary, as soon thereafter as possible: “I do solemnly swear that I will faithfully execute the office of (title) of JCI Aleppo and will, to the best of my ability, serve as a living example of this organization’s philosophy and belief, and will uphold and enforce the Constitution of the Local Organization, National Organization and JCI at all times.” BYLAW 8-16. DIRECTORS: The President may appoint directors or other special assistants without the approval of the General Assembly (exempted from the above Articles and Bylaws of Chapter XIII), but those appointees cannot be Officers of the Local Organization nor members of the Board of Directors however they can be invited to Local Board Meetings with no voting right. Directors are eligible to attend the officer training outlined in Bylaw 8-10 Section 7. Appointment of Directors shall not be an alternative to Project Chairpersons in duties. Their number should not exceed the sum of one (1) director per each Twenty-five (25) members. BYLAW 8-17. REMUNERATION: All Officers shall serve without financial remuneration. Accruing expenses related to the execution of their tasks might be reimbursed from a specific budget line allocated for that and subject to the approval of the Executive Committee. The total allocation shall not exceed Ten percent (10%) of the annual budget, and later on the final turnover. CHAPTER IX: BOARD OF DIRECTORS ARTICLE 9-1. COMPOSITION: The President, Executive Vice President, Secretary General, four (4) Vice President, Treasurer, and Immediate Past President shall comprise the Board of Directors. ARTICLE 9-2. DUTIES: The Board of Directors shall: 1. Manage the affairs of the Local Organization within the powers vested in it by the Constitution and the General Assembly. 2. Implement the plan of action decided upon by the General Assembly. 3. Recommend action to the General Assembly Meetings 4. Plan and coordinate Local Organization activities 5. Receive reports from its members. 6. Maintain the membership of its members, recruit new members, and retain the current ones. 7. Propose, receive, or consider constitutional amendment. 18 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| 8. Receive and consider Senatorship applications and give advice to the President for endorsement or rejection of same. 9. Upon recommendation of the President, set the duties and composition of a Strategic Planning Committee and appoint its members. BYLAW 9-3. MEETINGS: The Board of Directors shall meet a minimum of twelve (12) times a year at a place and time set by the president. The President shall call for meetings at own discretion or upon the request of one Third (1/3) of the Local Board. Three (3) days’ written notice of such meetings shall be given to each member by the Secretary General, except when specifically scheduled at the time of the last meeting with mentionin the minutes. ARTICLE 9-4. EXECUTIVE COMMITTEE: The President, Executive Vice President, Immediate Past President, Secretary General and Treasurer shall comprise the Executive Committee, which shall: 1. Manage the affairs of the Organization within the powers vested in it by the Constitution and General Assembly. 2. Implement actions decided upon by the General Assembly and the Board of Directors. 3. Recommend actions to the Board of Directors. 4. Advise its members. 5. Constituted as the Finance Committee, review and revise the annual budget as necessary at midyear for submission to the Board of Directors for approval. 6. Receive reports from its members. The Executive Committee may meet upon a call by the President or a majority of its members. Three (3) days’ written notice of such meetings shall be given to each member by the Secretary General, except when specifically scheduled at the time of the last meeting with mention in the minutes. BYLAW 9-5. QUORUM: (50%) Fifty percent of the members at any meeting of the Board of Directors shall constitute aquorum giving that they are attending in person or via conference call. BYLAW 9-6. VOTING: 1. At all meetings of the Board of Directors, each member shall have one vote. 2. Voting shall be determined by a show of hands unless decided otherwise at the President’s own discretion or by a majority of two-thirds (2/3) of the members present at the meeting. 3. Proxy votes are not permitted. BYLAW 9-7. PRINCIPLE OF COLLEGIALITY: Collegiality is the main principle according to which Board of directors, and executive committee shall adopt decisions, and as such it identifies their internal decision-making. 19 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| CHAPTER X: DUTIES OF MEMBERS OF THE BOARD OF DIRECTORS PRESIDENT BYLAW 10-1. DUTIES: The President shall: 1. Be responsible for the control and supervision of the Local Organization. 2. Represent the Local Organization in all instances. 3. Preside at all meetings of the General Assembly and the Board of Directors. 4. Report to the General Assembly and Board of Directors. 5. Report to the National organization, its General Assembly and Board of Directors. 6. Attend the National Convention and all National General Assembly Meetings. EXECUTIVE VICE PRESIDENT BYLAW 10-2. DUTIES: The Executive Vice President: 1. Be responsible for the overall growth of the Local organization. 2. Monitor and coordinate the activities of the Vice Presidents. 3. Handle special tasks assigned by the president and are considered as strategic. 4. Accompany the Local president in attending all national activities. 5. Deputies the president during planned absence. VICE PRESIDENT BYLAW 10-3. DUTIES: The Vice President shall: 1. Carry out such duties as may be assigned to by the President or by this constitution within the assigned Area of opportunity. 2. Monitor and coordinate the activities of the Project and Program Directors of the Local Organization. 3. Advise the President and Board of Directors on program and project matters. SECRETARY GENERAL BYLAW 10-4. DUTIES: The Secretary General shall: 1. Be the administrative Officer of the Local Organization responsible directly to the President. 2. Keep an update database of current members of the Local Organization. 3. Give notice of all General Membership Meetings of whatever nature. 4. Be responsible for taking minutes of General Membership Meetings and Board of Directors Meetings and for keeping a permanent record of such minutes, which shall be open to inspection by members at all reasonable times. 20 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| 5. Prepare the agendas of all meetings and submit them to the President for approval. 6. Be responsible for the preparation of the annual report of the Local Organization. TREASURER BYLAW 10-5. DUTIES: The Treasurer shall: 1. Issue notices of dues payable and be responsible for their collection. 2. Keep books of accounts and financial records of the Local Organization. 3. Be responsible for the disbursement of monies at the direction of the Board of Directors. 4. Be responsible for the preparation of an annual report on the financial affairs of the Local Organization and for quarterly financial statements which should be available to all members. 5. Prepare and submit a proposed budget for the Local Organization. 6. Coordinate with the National Treasurer and keep the national Board of Directors informed about the financial status of the Local organization. 7. Support the finance of Local projects and activities, and their sponsorship plans. 8. Supervise the asset and inventory of the Local Organization. 9. Secure new sources of income and undertake some fund development activities. All checks and other orders relating to the banking accounts of the Local Organization shall be signed by two out of three: The President, Immediate Past President, and treasurer. And later, countersigned by the Treasurer. GENERAL LEGAL COUNSEL BYLAW 10-6. DUTIES: The Immediate Past President undertaking the role of the Local General Legal Counsel shall: a. Serve as Parliamentarian to the Board of Directors and the General Assembly. b. Rule on matters of parliamentary procedure at the request of the presiding Officer. c. Make sure that the JCI, National Organization and Local Constitutions are respected at all times. d. [Under the supervision of the National General Legal Counsel] Propose amendments to the Local Organization Constitution if necessary. BYLAW 10-7. PARLIAMENTARIAN: In the absence of the General Legal Counsel, the President – with the concurrence of the meeting – shall appoint a Parliamentarian who shall serve for the period of the meeting The Parliamentarian must be a past Local President, a past National President, or a Senator. DIRECTORS BYLAW 10-8. DUTIES: The Directors shall: 21 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| 1. Promote, coordinate, and supervise program or project activities within the terms of reference of their assigned responsibilities. 2. Study information received relating to their responsibilities and recommend suitable action to the Board of Directors. 3. The Directors will report to a member of the Board of Directors, depending on the task they are responsible for. ذ CHAPTER XI: ACTIVITIES BYLAW 11-1. AREAS OF OPPORTUNITY: To facilitate the achievement of the purposes of JCI, the program activities of the Local organization shall apply to any or all of the following four (4) Areas of Opportunity: a. Individual Development Area of Opportunities: To provide the opportunity for the Individual Member to realizepersonal potential through training programs. b. Community Impact Area of Opportunities: To develop the sensitivity of the Individual Member to societal problems and knowledge of community dynamics in solving these problems through actual experience. c. International Cooperation Area of Opportunities: To provide the opportunity for the Individual Member to contribute to the development of goodwill, understanding, and cooperation among all peoples. d. Business & Entrepreneurship Area of Opportunities: To provide the opportunity for members to contribute to the development of the economic infrastructure, prosperity, and well-being of all nations. ARTICLE 11-2. JCI PROJECT: A JCI project is a series of tasks and activities that need to be completed to reach a specific outcome. A project should be composed of a set of inputs and outputs required to achieve a particular goal over a period of time and shall fall under one or more of the four areas of opportunity. BYLAW 11-3. PROJECT CHAIRPERSON: Subject to ratification by the Board of Directors, a Project Chairperson shall be appointed for each approved project. Project Chairperson shall be responsible for the promotion, activation, and 22 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| coordination of their projects; be Chairperson of the Project Committee; and shall report on the progress of the project to the assigned Vice President or Commission Director (if applicable). ARTICLE 11-4. COMMISSIONS: In order to organize the Local Organization’s activities in a balanced and orderly manner, program activities shall be conducted by the commissions established under the JCI Areas of Opportunity and activated according to the Organization’s needs. BYLAW 11-5. COMMISSION DIRECTORS: The Vice president shall appoint, subject to the Board of Directors’ approval, one director for commission to follow up special tasks or programs within the framework and duties of this commission (e.g., TOYP, Awards, etc.). These Directors do not have necessarily a year long term, but for the duration a specific task or for some months, to give opportunity for more members to hold these positions and gain the experience. The Commission Directors shall: 1. Supervise the activities of the Project Chairperson assigned to their commissions. 2. Promote, coordinate, and supervise program and project activities within the terms of reference of their assigned responsibilities. 3. Study information received relating to their responsibilities and recommend suitable action to the Board of Directors. BYLAW 11-6. CAPACITY BUILDING: All Project chairpersons, directors and commission directors shall be subject to the attendance of relevant capacity building and training prior to initiate their tasks. BYLAW 11-7. JCI-ENDORSED AND NATIONAL PROGRAMS: Where possible, the Local Organization shall also promote the adoption of JCI-endorsed and national programs among its individual members as long as these programs do not interfere or reduce the Local community projects. BYLAW 11-8. JCI MAJOR EMPHASIS THEME: The Local Organization shall appoint a Director to promote, coordinate and monitor the activities related to the JCI Major Emphasis Theme or Campaigns at the Local level and to correspond with the appropriate officers at national level. BYLAW 11-9. AWARDS: The Local Organization shall set an Awards Program (in compliance with the applicable rules and procedures) to recognize and honor outstanding achievement in the fulfilment of the purpose of JCI by its members and possibly appoint an officer to act as Awards Manager. 23 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| BYLAW 11-10. FAILURE TO FULLFIL DUTIES: Any commission director or project chairperson who is deemed failing at fulfilling their duties by either repeated unexcused absences from their committee meetings or failure to carry out and attend to their assigned duties as outlined in Bylaws 11-3 and 11-5, or acting in a way that is detrimental to theimage, principles, values or mission of JCI, shall, following a request of the assigned Vice President and a vote of the Board of Directors, be given a written warning asking them to fulfil their commitments to the Local organization. If after the warning the director or chairman is still failing in the fulfilment of their duties, the Board shall vote to relief them from their assignment and their position shall be filled in accordance with Bylaws 11-3 and 11-5 The minimum period separating the Board votes on this matter shall be no less thantwo (2) weeks. CHAPTER XII: FINANCES ARTICLE 12-1. FINANCIAL YEAR: The financial year of the Local Organization shall be the calendar year (from January 1 to December 31). BYLAW 12-2. BOOKKEEPING: The cashbook, ledger and other bookkeeping records of the Local Organization shall be maintained by the Treasurer under the supervision of the Board of Directors. BYLAW 12-3. ASSETS: All funds and other assets shall be held in the name of the National Organization with the privilege of beneficial use of the Local Organization. Before the end of the year, Both Board of Directors (Current and elect) shall assume a complete and registered hand-over of these assets copying the current National Treasurer. BYLAW 12-4. BUDGET: The Treasurer shall propose a budget for the ensuing year to the Board of Directors. The proposed budget, with the recommendations of the Board of Directors, shall then be submitted for to the General Assembly for its approval. BYLAW 12-5. SELF-FUNDED PROJECTS: All projects and activities shall obtain their funding from external sources. Subject to the approval of Executive committee, some projects and activities may be internally financed by the treasury without exceeding a percentage of Fifteen Percent (15%) of the total annual budget. BYLAW 12-6. QUARTERLY REPORTS: The Treasurer shall prepare quarterly financial statements and balance sheets and circulate them to the Board of Directors for possible revision. 24 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| BYLAW 12-7. ADMINISTRATION POLICY: For the administration of inventories, bank accounts, insurance, disbursements, signatures, bonds and salaries, the Local Organization shall follow and comply with all policies and procedures provided by the National organization and as part of “The Policy Manual” in force. BYLAW 12-8. JCI SYRIA FOUNDATION: The Local Organization shall take all the efforts to promote and support JCI Syria Foundation by holding activities on the Local level within the area of operation of the Local Organization. ARTICLE 12-9. SUSTAINABILITY FUND: Membership dues collected from the members of the Advisory Group shall be deposited in the Local treasury under a special sperate account. The use of this money shall be for ensuring the sustainably and growth of the Local organization with explicit approval of the majority of the active members of the Advisory Group. CHAPTER XIII: DUES ARTICLE 13-1. PAYMENT: The Annual Membership dues shall be paid by individual members for the current year no later than March 31. ARTICLE 13-2. ENROLMENT FEE In addition to Annual Membership dues, new members are subject to enrolment fee to be paid during first fifteen (15) days of membership. BYLAW 13-3. AMOUNT: The annual due for an individual member is established by the National General Assembly during the preceding National Convention and communicated by the National Treasurer on January 1st. The Amount of the Enrolment fee shall be presented in the budget proposal of the ensuing year and subject to approval of the complementary meeting of the General Assembly. The exact amount should not exceed the value of the annual due for current members. BYLAW 13-4. NONPAYMENT OF DUES: Any member who has not paid dues within the deadline identified in Bylaw 13-1, may temporarily or definitely cease to be a member according to Bylaw 5-10. ARTICLE 13-5. COLLECTION OF DUES IN TRUST: All payments made by individual members for JCI dues shall be held in trust by the Local Organizations and included in the next membership registration and remitted in full to the National Organization. 25 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| CHAPTER XIV: SENATORS ARTICLE 14-1. DEFINITION: An award entitled JCI “Senatorship,” granting life membership in the organization, JCI Syria Senate and in the JCI Senate, may be awarded to individual members or past members to honor them for rendering outstanding service to JCI. The awarding of such status shall not exempt the member from paying regular dues to the organization. JCI Senators have no duty or task within the structure of management and operation of the Local Organization other than what it is envisaged explicitly by this constitution. However, it is highly recommended to benefit from their experience, support and knowledge once needed and requested by the Board of Directors or the Local President. Senator shall be subject to Article 5-2, Bylaw 5-6, and Bylaw 5-7 in respect to their membership of the General Assembly and their right to vote. ARTICLE 14-2. APPLICATION: The Senatorship application shall be submitted by the Local Organization President (or one of the members of the Local Board of directors, once the Senatorship application is for the Local President) to the National Organization President to confirm the qualifications. All Senatorship applications shall be approved and endorsed by the National Organization President before being presented to JCI. All Senatorship applications shall meet the qualification requirements set it in the National Constitution of JCI Syria and should receive the support of the Board of Directors of the Local Organization. BYLAW 14-3. REVOCATION: The Local President or the Local Board of Directors may recommend to the National President that a Senatorship be revoked, temporarily suspended, or withdrawn if the Senator has not conducted themselves in a manner worthy of a Senator, or if the actions of the Senator are not in the best interests of the organization. BYLAW 14-4. JCI SYRIA SENATE: Senators of the Local organization are automatically members of the JCI Syria Senate. CHAPTER XV: PRINCIPAL OFFICE AND JCI SYRIA SECRETARIAT ARTICLE 15-1. PRINCIPLE OFFICE: The principal office of the Local Organization shall be located at Aleppo Chamber of Industry office in Sabe’ Bahrat Area in Aleppo, Syria. Any Permeant change to this address should be under the supervision of the National Organization and Widely communicated. 26 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| ARTICLE 15-2. JCI SYRIA SECRETARIAT: Since the Local organization does not enjoy a legal entity, the legal address of the Local organization should be the JCI Syria Secretariat as defined and described by the National Constitution of JCI Syria. BYLAW 15-3. RECORDS: A copy of the Local organization’s records, documents and belongings shall be maintained at the JCI Syria National Secretariat. CHAPTER XVI: RULES OF PROCEDURE ARTICLE 16-1. DESIGNATION: The business, meetings and activities of this Local Organization shall be conducted according to this Constitution, National and JCI Constitution and, where not otherwise provided, to Robert’s Rules of Order Revised. ARTICLE 16-2. WAIVER: SECTION 1. ARTICLES: Any article of this Constitution may be waived by a unanimous vote of members at the Annual General Meeting provided that four-fifths (4/5) of the total voting strength in attendance participate in the vote. SECTION 2. BYLAWS: Any bylaw of this Constitution may be waived by a four-fifths (4/5) vote of members at the Annual General Meeting. BYLAW 16-3. LANGUAGE: Both Arabic and English are the official languages of the Local Organization. Therefore, internal, and external correspondences, polices and basic records of the Local Organization can be maintained in any of both. However, when it comes to this constitution, English text should remain the original legal basis. CHAPTER XVII: ADVISORY GROUP ARTICLE 17-1. COMPOSITION: Past Local and national presidents, and senators from the Local Organization are eligible to be members of the Advisory group upon payment of the special annual membership fees. ARTICLE 17-2. DUTIES: The advisory group shall support the activities of the Local Organization, provide assistance and advice to its Local President, and from its members formulate both nomination and admission committees, chaired by the Immediate Past President BYLAW 17-3. INTERNAL PROCEDURES AND FEES: The advisory group shall develop its own internal procedures and communicate the membership fees to its members. 27 THE LOCAL CONSTITUTION OF JCI ALEPPO |Ver. 22-00| CHAPTER XVIII: AMENDMENTS ARTICLE 18-1. AMENDMENTS: Articles and Bylaws of this constitution may be amended by a two-thirds (2/3) vote of the General Assembly members present and voting at the Annual General Assembly Meeting, provided that written notice of the proposed amendment is given to each member thirty (30) days prior to the date the meeting is to be held. Any proposed amendment should be verified and accept by the National Legal Counsel. The newly amended constitution shall be filed by the National Organization within a period of Sixty (60) days of the amendments and to be published online for the access of all individual members of the Local Organization. ARTICLE 18-2. EFFECTIVE DATE: This Constitution became effective on January 1, 2020.
