Must be made in writing; 2. Must allow the assignee the same rights as the original creditor had; 3. Must have given the debtor written notice; 4. May not increase the debtor’s burden. 22 Example: “Don’t pay a cent event” Customer buys an appliance; Customer is not required to pay for a year; The debt is assigned to a financial company; In one year the financial company collects the debt. 23 An Assignment of Obligations Can one assign one’s Obligations under contract? Why would you? Must be done with the debtor’s consent; 2. The original “obligee” remains responsible and liable for the performance of the obligation and for the actions of the assignee. 26 So… In the construction industry this is called: SUBCONTRACTING 27 9 LAWS‐1030 ‐ Module 6 You Cannot Assign your Obligations When: The performance depends on the qualifications of the performer! ie: You can’t hire a “bar band” to play a concert in lieu of a “headliner” band. 28 An Assignment of Obligations May require the consent of the other party to the contract… The other party may have a “right of refusal” For Example: A Construction Contract… 29 Obligations Continued… “Neither party to the Contract shall assign the Contract or a portion thereof without the written consent of the other…” What about licensed work?
