NNPC Limited Code of Conduct 9 Public Communication, Media, and Press 9.1 Public Disclosure NNPC Limited is committed to communicating to all its stakeholders with integrity and consistency and in compliance with regulatory or statutory requirements and financial reporting standards. Disclosure of inappropriate or inconsistent information may negatively impact NNPC Limited’s reputation. Accordingly, public disclosures on the financial position of the Group must be made by authorised spokespersons through authorised media. Any public written or oral communication that can be attributed to NNPC Limited or its employees may amount to a public disclosure. This includes regulatory filings, NNPC Limited publications, press releases, speeches, presentations and social media posts or commentaries made by NNPC Limited or NNPC Limited’s employees, and information contained on NNPC Limited’s website which are accessible to the public. 9.2 Media and Freedom of Expression While we acknowledge that our employees are entitled to enjoy their constitutional right of freedom of expression, unprofessional exercise of this right may result in unethical conduct if not appropriately managed. Therefore, as an employee, ensure that you: Do not express your personal opinion as the official position of the Company or make any comments or innuendos that may infer that your personal opinion is the position of the Company. Consider the effect your personal opinions may have on the reputation of the Company. 9.3 Relating with the Press Except with the prior consent of Senior Management/ employees of NNPC Limited cannot grant interviews to, nor make comments in connection with the Company or any professional matters to the media, be it in print, on the radio, on television or on social media. 37 NNPC Limited Code of Conduct If an employee grants a personal interview to the media, neither the Company nor the fact that the staff is employed by the Company must be mentioned. Breach of this rule will, in NNPC Limited’s view, be a breach of professional confidence and may lead to instant dismissal of the employee involved. Employees are also reminded that a breach of this nature will normally lead to disciplinary action. 9.4 What is Expected of NNPC Limited’s Employees? All employees must be mindful of situations in which they may be perceived to be communicating on NNPC Limited’s behalf. Employees must not disclose information to the public unless they are specifically authorised to do so. Those authorised to make disclosures must ensure that information provided to the public is true, accurate and complete (stating all material facts). No disclosure should be misleading. All external presentations, speeches, press releases, articles and publications must be formally cleared by Group Public Affairs Division prior to release. NNPC Limited’s Media Relations professionals must be consulted prior to any engagement with the media that will be associated with NNPC Limited including, press conferences or interviews. 9.5 Guidelines for Public Communications a) Ensure that all communications, whether print, web-based or verbal, comply with all appropriate internal and external standards, and have received appropriate internal approval before release. b) Provide complete, factually correct and understandable information if you are requested to assist in making a disclosure. c) Report the loss or theft of information about NNPC Limited, and/or their affiliates (such as the theft of your computer) to your manager immediately. d) Preserve records that are relevant to investigations or litigation involving NNPC Limited or her employees. e) Promptly communicate any erroneous or misleading public information about NNPC Limited or her affiliates to the Public Affairs Department. f) Never conceal facts or omit information that may be relevant to a disclosure – always tell the whole story. g) Never trade or use any non-public information about NNPC Limited obtained during the course of your employment for your personal benefit. 38
