NNPC Limited Code of Conduct 2. Professional Conduct All employees of NNPC Limited are required to conduct themselves in accordance with the highest standard of behaviour. Professional conduct is therefore not only limited to the office environment but should encompass all aspects of lifestyle. 2.1 Compliance with all Laws and Regulations NNPC Limited wishes to be regarded as a responsible corporate citizen across all our operating locations. As such, all staff are required to comply with: a) All applicable laws and regulations in all jurisdictions where we have operations. b) Other standards governing our industry/ lines of business, general business dealings. c) Health and safety standards. d) Failure to comply will attract disciplinary action in line with company policies. 2.2 Work Ethics 2.2.1. Loyalty to NNPC Limited All employees are required to always maintain and demonstrate a high sense of loyalty to the Company. Any action or utterance that can impact adversely on the Company shall be construed as an act of disloyalty. 2.2.2. Customer Care and Stakeholder Relationship Management Employees are required to always treat customers and other stakeholders of the Organization with courtesy. Please note that all employees are required to commit to addressing/ resolving legitimate requests/ concerns of customers within the scope of normal business transactions. 2.2.3. Commitment to Quality It is essential that quality is embedded in the way we deliver service to our customers. All employees must commit to always delivering assigned tasks to the highest standards of quality. 2.2.4. Gifts 10 NNPC Limited Code of Conduct Employees shall not solicit gifts from customers/contractors on account of any service rendered in the discharge of his/her duties. If any member of staff receives any gift item(s), (s)he is expected to abide by the provisions of Code of Conduct. 2.2.5. Unauthorized Usage of Company Resources Unauthorized use of Company funds, property, time, services etc. is prohibited. 2.2.6. Unauthorized Guarantee/ Recommendation Members of staff are prohibited from the utilising the Company's name, letterhead etc. for personal use. 2.3 Punctuality Employees are required to attend to duty punctually and observe stipulated working hours. An employee who reports for duty more than one (1) hour late without proper notification of his/her Supervising Officer would be subject to the appropriate disciplinary action which will be dealt with according to the Company's disciplinary procedures. 2.4 Absence from duty Employees are required to obtain permission if they wish to take any leave during office hours or to return late from break beyond the specified break period. Absence from duty for a whole day without permission is a breach of contract, which will be dealt with according to the Company's disciplinary procedures. If an employee is unable to come to work because of illness, he/she must ensure that the supervising officer is notified the same day. 2.5 Mode of Dressing NNPC Limited believes that all employees must always be professionally dressed to reflect accepted business principles. It is expected that all employees present a formal and professional appearance when representing the Company whether in, or outside of, the office. Also, employees may dress in accepted “business-casual” and native attires. “Business-casual” for the purpose of this handbook is defined as, formal shirts and trousers for men and formal shirts, blouses, skirts, trousers, and dresses for women. Ties and jackets are optional for business casual. Native attires on the other hand, will include kaftan, buba, Sokoto, abaya, and other smart attires reflective of Nigerian tribes, and which will not constitute an encumbrance in carrying out normal duties or connote propagation of partisan political support or 11 NNPC Limited Code of Conduct uncomplimentary to the company’s core values. Other Dressing Considerations a) Clothing that is overly ostentatious, flamboyant, and attracts undue attention or creates a distraction for other employees is inappropriate. b) Clothing that displays graphics, letterings, words, or terms that contain profanity to any degree that may be offensive to other employees or that competes with than compliments the brand equity and core values of the company, is unacceptable. c) Scents and perfumes should be used in moderation, in consideration of other people who share the workspace and may be sensitive to strong smells and odors. d) Where uniforms are provided, it is mandatory for the concerned staff to wear them. If an employee is not appropriately dressed, he/she may be requested to go home and change subject to the appropriate disciplinary action which will be dealt with according to the Company's disciplinary procedures. For plants and project sites, employees (including engineers and other technical staff) are expected to wear work clothes appropriate for work to be done. Such employees should wear clothing that protects their safety and wear clothing in such a way as to be safe (e.g., shirts tucked in when working around machinery). 2.6 Drug Abuse and Alcoholic Beverages Illegal use or selling of dangerous drugs as well as intake of alcohol or being drunk while on duty is strictly prohibited. Any confirmed drug abuse or use of alcohol on duty will lead to disciplinary action. Supervising officers should keep a close watch on their subordinates with a view to detecting and notifying the HR Department at the slightest sign of drug abuse. (Please refer to the Disciplinary and consequence management policy). 2.7 Obligation for Relationship Disclosure In conflict-of-interest situations, it is the responsibility of all staff to disclose any existing personal relationships – spousal or spousal equivalent, parent- child or other family relationship. 12 NNPC Limited Code of Conduct 2.8 Discrimination Discrimination is the act of making unjustified distinctions where a person or group of people are treated unequally, less favorably, or not given the same opportunities as others based on the group(s), class(es), or other categories to which they belong or are perceived to belong. The Company prohibits any form of discrimination based on race, color, creed, religion, ancestry, national or ethnic origin, gender, age, genetic information, illness, family status or disability. 2.9 Soliciting for Personal Business NNPC Limited staff shall not solicit or canvass within NNPC Limited for the sale of any goods, services or other personal business. Staff are not allowed to post, distribute or advertise material for personal gains either within NNPC Limited premises or within work hours. 2.10 Physical Security All NNPC Limited staff are required to always display their identity cards on their person. In the event that it is misplaced/stolen, police report and sworn affidavit shall be presented at the entrance. NNPC Limited reserves the right to search all vehicles, briefcases, computer carry cases and other bags and any other containers of whatever description (on a needs-basis) that are brought onto the Company’s premises. Employees will submit themselves willingly to these searches and failure to do so will attract the necessary consequences. It is the responsibility of employees to ensure the safekeeping of cash and personal effects on a day-to-day basis in the office. 2.11 Transparency and Accountability All NNPC Limited’s employees are expected to use powers and resources for the public good, in accordance with the policies and applicable laws. They should be prepared to be accountable for the decisions they make, and to justify their official decisions and actions to a relevant authority, or publicly, as appropriate in the circumstances. 2.12 Integrity 13 NNPC Limited Code of Conduct All NNPC Limited’s employees are expected to make decisions and act without consideration of their private interests. The improper use of an official position for private advantage is regarded as a serious breach of professional integrity. 2.13 Legitimacy All NNPC Limited’s employees are required to administer the policies and applicable laws, and to exercise legitimate administrative authority under delegation. Power and authority should be exercised impartially and without fear or favour, for its proper public purpose as determined by the Company and as appropriate in specific circumstances. 2.14 Fairness All NNPC Limited’s employees should make official decisions and take action in a fair and equitable manner, without being affected by bias or personal prejudice, considering only the merits of the matter, and respecting the rights of affected citizens. 2.15 Responsiveness As agents and employees of NNPC Limited, employees are required to serve the legitimate interests and needs of the company in a timely manner and with appropriate care. 2.16 Efficiency and Effectiveness All NNPC Limited’s employees are required to: a) Obtain best value from the use of company funds and assets deployed. b) Avoid waste and extravagance in the use of resources in public programs and official activities. 2.17 Participation in Other Businesses A staff of NNPC Limited who is employed on a full-time basis cannot engage or participate in the management or operation of any private business, profession or trade during Company time. Employees are encouraged to declare all interests in other companies and private businesses. 14
