All rights reserved. 2 Responsibilities Regarding the CBE Management Employees Ensure Company standards, policies, and procedures Read, understand, and comply with the Code, comply with the Code; conducting all duties with integrity and professionalism. Report any violations up through the chain of command; Seek advice on the Code from supervisors or relevant departments when needed. Ensure employees complete the Annual Declaration of Assets form and the Certificate of Acceptance of this Report any violations of the Code to Management or Code. through the Whistleblowing Channel. All rights reserved. 3 CODE OF BUSINESS ETHICS Objective: To support UJ Core Values by informing the Management and Employees and all other stakeholders of the Company of acceptable and unacceptable business conduct and behaviour. Scope: All Employees and other authorised representatives of the Company and Business Partners including subsidiary and/or joint venture companies. Frequency: Commencement of Employment and/or Annually. All Employees have a responsibility to understand, apply and comply with the requirements of the Code. All rights reserved. 4 1 DEALING WITH EMPLOYEES All Employees shall be treated fairly and with respect. Harassment, abusive, and violence acts will not be tolerated whether verbal, physical or visual. Maintaining a safe workplace by following the safety, health and environment rules and practices. Strictly prohibited from being involved involving the use, possession, distribution or sale of illegal drugs, alcohol or prohibited substances. Employees are strictly prohibited during business hours, or otherwise to be involved in acts of pornography or immoral activity(ies). Employees subpoenaed or required to give evidence in court on matters involving the Company must notify their immediate superior. Employees are required to always comply with the Company’s service delivery quality and standards. An obligation to protect customer information that is sensitive, private or confidential. To present a clean and professional appearance when representing the Company, whether within or outside the office premises. All rights reserved. 6 3 DEALING WITH SUPPLIERS & BUSINESS PARTNERS Showcase dedication & trustworthiness. Abide by all Company policies, standard operating procedure and processes. Shall not do business with parties who are viewed as likely to harm or bring UJ’s reputation into disrepute. UJ Suppliers/Business partners are prohibited from using the name or logo of UJ, without the prior written consent of UJ. Contracts/purchasing agreements should be clearly documented with sufficient information. An appropriate procurement process whereby Suppliers / Business Partners are to be selected based on product or service suitability, capability, price delivery and quality. All rights reserved. 7 4 DEALING WITH GOVERNMENT & COMMUNITIES Employees may support any community, charity, or cause in their personal capacity, without representing UJ’s views or position. Cooperate with reasonable requests from government agencies and regulators, ensuring all information provided is accurate. An obligation to comply and upholding with all relevant and applicable laws and regulations. UJ is prohibited from contributing to political causes or using its resources to support political parties, initiatives, or candidates, whether monetary or non-monetary. Abstention of UJ involvement in political activities. However, Employees seeking full-time political involvement or election to a Federal or State Legislative Body must first resign from UJ. All rights reserved. 8 5 DEALING WITH COMPANY ASSET Employees must protect all Company assets, prevent theft, misuse, or damage, and use them responsibly for work purposes. Employees are prohibited from using UJ assets for illegal activities or personal gain. All assets and proprietary information must be returned upon termination of employment. All Employees must maintain secrecy of Confidential Information and avoid actions that could harm the Company, even after employment ends, unless the information becomes public lawfully. UJ requires honest and accurate recording and reporting of information, including quality, safety, personnel, and financial records, for responsible business decisions. All rights reserved. 9 6 CONFLICT OF INTEREST Employees must make decisions in the Company’s best interests, avoiding conflicts of interest, personal relationships, or financial involvement. May not accept outside employment, directorships, or partnerships with entities that do business with UJ, unless approved by the CEO. Personal Account Dealing: Employees must obtain prior approval from an authorized person before trading in securities of public issuers. GHET Policy: UJ has a "No Gift Policy," prohibiting employees from offering, giving, soliciting, accepting, or receiving any gifts or benefits as rewards or consideration, unless specified exceptions apply. All rights reserved. 10 7 FIGHTING BRIBERY AND CORRUPTION UJ must adhere to the MACC Act and all relevant anti-bribery and anti-corruption laws and regulations in the countries. Employees are prohibited from accepting or offering any form of gratification related to Company matters involving Suppliers, Business Partners, or personal connections. UJ Suppliers and Business Partners are also prohibited from offering gratification to influence Employee decisions or actions. If an employee receives or is offered a bribe, they must report it with a full and accurate description of the facts, including the name of the person involved. No employee will face demotion, penalty, or other negative consequences for refusing to pay bribes, even if it results in the company losing business. All rights reserved. 11 8 ESCALATION PROCEDURES All Employees should be alert and sensitive to situations that could result in an act carried out by themselves, or others, which may be in violation of this Code. Obligation to make a report to Management or relevant department(s). All complaints raised must be made in good faith and where possible, supported with relevant information and evidence. UJ ensure confidentiality for individuals raising concerns related to the Code and will support those who report in good faith. Scope: Executive Employees and shall not include non-executive employees. All rights reserved. 14 ASSET DECLARATION (1/2) WHAT TO DECLARE? HOW TO DECLARE? 1 STEP 1 Fill out the ADF/1 form (Asset Declaration) and AF/2 form (Employee Attestation). For employees who do not own any asset to declare, a nil return shall be filed 2 STEP 2 Put the ADF/1 form in a sealed envelope and submit to GRC personnel together with AF/2 form NOTE: AF/2 form shall not go into the sealed envelope 3 STEP 3 Acknowledgment of receipt by GRC personnel using AF/2 form Employee to safekeep a copy of signed AF/2 4 STEP 4 form for reference Your submission shall be treated as Private and Confidential, and the sealed envelope shall only be opened under circumstances as authorised by the Chief Executive Officer Failure to declare asset will result in disciplinary action for a breach of an obligation pursuant to the Company’s Code of Business Ethics Private and Confidential Copyright © Urusharta Jamaah Sdn Bhd.
