NNPC Limited Code of Conduct 11 Asset Protection NNPC Limited’s assets may be of considerable value, whether financial or physical assets, or intellectual property and are intended to be used only to advance NNPC Limited’s business purposes and goals. These assets must be secured and protected in order to preserve their value. Employee behaviour will be regarded as misappropriation of assets where it involves theft or misuse of the Company’s assets. Examples include: a) Embezzlement of funds. b) Unauthorized use of machinery, tools or equipment for personal gain. c) Involvement in deliberate act(s) which cause or result in damage to the Company’s property, equipment and products. d) Unauthorized sale of NNPC Limited’s property. e) Theft of cash, raw materials, finished goods, stock etc. 11.1 What NNPC Limited Expects from Employees Employees are entrusted with NNPC Limited’s assets to do their jobs and are personally responsible for safeguarding and using them appropriately. These assets among others include NNPC Limited’s official documents such as technical information, reports, bids, internal correspondence, and financial records, etc. To this end, every stakeholder is expected to, say and do something when they see something going wrong. Employees are responsible for protecting NNPC Limited’s assets from waste, loss, damage, misuse, theft, misappropriation, or infringement and for using those assets in responsible ways. 11.2 Asset and Expense Records Accurate, reliable, and timely preparation of business records and documents, including those that relate to expenses incurred by employees on behalf of the Company, are required by law. Such records are important to the Company’s decision-making processes and the proper discharge of its financial, legal, and reporting obligations. Falsification of asset records or misrepresentation of facts may constitute fraud and can result in civil and criminal liability for both individuals and NNPC Limited. 11.3 Time at Work While in the workplace, employees are expected to be fully engaged in their work and not undertake personal activities beyond a reasonably modest 41 NNPC Limited Code of Conduct level. NNPC Limited expects that all employees will devote the necessary time to their work in order to fulfil their responsibilities. Those required to record the hours they work must do so truthfully and accurately. 11.4 Asset of Others NNPC Limited respects the physical and intellectual assets of others. Consequently, we expect our employees and contract staff never to knowingly damage or misappropriate the physical assets of others; infringe valid patents, trademarks, or copyrights of others; misappropriate confidential information in violation of the rights of others; or use or disclose confidential information of others without proper authority. We expect others to show the same respect for NNPC Limited’s physical and intellectual assets. 11.5 Our Expectation of You a) Only use NNPC Limited assets to accomplish its business purposes. b) Always take steps to prevent waste, loss, damage, misuse, theft, misappropriation, or infringement of NNPC Limited’s assets. c) Obtain the appropriate permission for the use of NNPC Limited’s assets. d) Prepare, maintain, or submit accurate records regarding the use of NNPC Limited’s assets, in accordance with applicable laws, and NNPC Limited’s processes. e) Record time worked accurately. f) Comply with specific restrictions placed on the use and transfer for NNPC Limited’s assets. g) Follow established guidelines and procedures relevant to the use of NNPC Limited’s assets. h) Do not conceal, alter, destroy or modify the Company’s records or documents except as authorized in accordance with established standards and guidelines. i) Do not conceal, alter, destroy, or tamper with documents relating to: i. Actual, pending or threatened litigation ii. Government or regulatory investigations iii. Circumstances where there is reason to believe such a litigation or investigation is reasonably likely to occur. j) Do not intentionally make a false or misleading entry in a report, record, or expense claim. 42
