Employment Contracts
- A contract is an enforceable promise needing offer, acceptance, intention to be legally bound, and consideration.
- Illegal contracts cannot be enforced in court, but the Unfair Dismissals Act allows claims in such circumstances.
- Employment contracts can be oral, written, or evidenced by conduct.
- The Terms of Employment (Information) Act 1994 requires employers to provide certain information to employees within two months of employment commencement or request.
- These details include the employer and employee's names, addresses, job descriptions, and commencement/termination dates (if fixed term), pay rates, holiday and sick pay, and pension schemes.
- Notice periods are also part of the contract.
- Disputes are resolved by the WRC (Workplace Relations Commission) and possibly the Labour Court. Compensation up to 4 weeks remuneration can be granted.
- Starting employment requires core terms within 5 days and remaining terms within 2 months from employment commencement according to the rules.
Contract of Service vs. Contract for Services
-
Contracts of service are for employees, who perform work on behalf of the employer.
-
Contracts for services are for independent contractors who provide services and are not employees.
-
Legal tests (Control Test, Integration Test, Mixed Test) distinguish between them.
-
Control Test: Focuses on the employer's level of control over the employee's work method.
-
Integration Test: Considers the employee's integration into the employer's business operations.
-
Mixed Test: A comprehensive examination considering factors like ownership of tools, opportunity for profit based on efficiency/risk, and whether the person employs assistants.
-
The legal status affects various areas of law including employment, social welfare, and tax.
Terms of an Employment Contract
- Contracts include express (clearly stated) and implied (understood) terms.
- Implied terms cover duties like indemnification for expenses, a safe workplace, and obedience to legal workplace instructions.
- Important terms include name of employer, position specification, commencement, notice period, holiday, sick pay, expenses, and right to search.
- Contracts must accurately detail hours of work / pay frequency, and any additional benefits (pensions, overtime).
- Illegal provisions render contracts null and void. Possible concerns are acceptance clauses, probation periods, expense policies, rights of search, trade union membership. Statutory protections exist.
- Confidentiality/Intellectual property is implied and crucial, especially in businesses dealing with new creations.
