Contract Agreement
- The contract is for architectural services and can be reproduced with the RAIC Authorization Seal on the cover.
- The use of the contract without the seal is copyright infringement.
- The owner, if different from the Client, will be filled in on the document.
- The Construction Budget is the maximum amount the Client will spend on the construction project.
- The anticipated dates for construction are filled in for the commencement and ready-for-takeover.
- The anticipated project delivery method and form of a construction contract are filled in on the form.
- The Architect will provide the Services described in Schedule A – Services or Schedule A__ - __________________________, whichever is attached.
Definitions
- Additional Services are not included in the initial contract, but can be added with written agreement from the Client and Architect.
- The Architect is identified in Article A3, is registered, licensed, or authorized to practice architecture at the Place of the Work.
- The Client is identified in Article A2 of the agreement.
- The Construction Budget is the maximum amount the Client will spend on the Construction Cost.
- The Construction Contract is between the Client and the Constructor.
- The Construction Cost is the total cost of the Work for the Client, which includes: Construction Contract price, cost of changes during construction, construction management fees, taxes, excluding Value-Added Taxes.
Client Responsibilities
- The Client is responsible for items identified in Schedule A – Services.
- The Client must provide the Architect with Project objectives, constraints, and criteria, including: legal description and surveys, subsurface investigation reports, air and water pollution tests, and information on existing buildings.
- The Architect can rely upon the accuracy and completeness of information provided by the Client or third parties.
Construction Cost
- If the construction cost exceeds the Construction Budget, the Client can either: increase the budget, abandon the project, or reduce the project scope or quality.
- If the Client chooses to reduce the scope/quality, and the overage was not due to market conditions, the Client can require the Architect to modify the design or Construction Documents to be within the Construction Budget percentage. The Architect will perform these without further cost to the Client.
Architect’s Role During Construction
- The Architect will administer the Construction Contract, but is not the Client's authorized agent or representative for the Construction Contract.
- The Architect's duties can only be changed with the consent of the Client, Architect, and Constructor.
Termination and Suspension
- If the Client suspends performance through no fault of the Architect, the Architect is entitled to be paid for all Services up to the suspension date, plus additional fees for costs incurred as a result of the suspension.
- If the Client is in default of their obligations, such as late payments, the Architect can suspend performance or terminate the contract.
- If the Client terminates due to no fault of the Architect, or the Architect terminates due to one of several reasons, the Architect is entitled to be paid for all Services, plus additional fees for costs as a result of the termination.
