APPENDIX IX STANDARD (SKELTON) FORM OF AGREEMENT BETWEEN RAILWAY ADMINISTRATION AND A FIRM OF AUCTIONEERS (Vide Paragraph 2414) An Agreement made this..............................19, between the President of India as represented by the............................Railway Administration through its General Manager at..................................(hereinafter referred to as " the Administration" which expression shall be deemed to include its..................carrying on business as Auctioneers under the style and name of..........................(hereinafter referred to as "the Auctioneers", which expression shall deemed to include their heirs legal representatives and assigns unless the context shall require a different construction) of the other part. Whereby it is agreeed as follows.— 1. that the Actioneers shall subject to Clause 16 hereof conduct sales by public auction at the stations on the..............Railway, during the three years, from............19......to 19..................of all property belonging to the administration which they may be entrusted with from time to time by the Controller of Stores of the Administration (hereinafter called the Controller) at for being disposed of by auction. 2. That the said Controller shall determine the conditions of sales, the place where and the time when the said sales shall be held as also the period herein described and referred to as the free time of delivery, within which materials or articles sold at each such sale shall be removed from the Railway premises and such other particulars as the Controller may deem necessary. 3. That the Auctioneers shall at their own expense advertise the said sales by auction and notify the holding of the auction sales to the public in a conspicuous and attractive manner and shall conduct the auction sales in all respects in such manner and shall as shall be most beneficial in the interests of the Administration. 4. That the Auctioneers shall auction all stores in convenient lots which shall be serially numbered and at their own cost announce and made known to the public the free time of delivery and such other conditions of sale as may be determined or approved of by the Controller. They shall furnish one copy of the auction sale list to the Controller and two copies to the Chief Accounts Officer, Stores Accounts Section, and the District Controller of Stores concerned so as to be their possession atleast a week before the date and time fixed for the auction sale provided the sale lists are in the possession of the Auctioneers a fortnight prior to the date of sale. 5. That the arrangement of the lots shall rest within the Administration. 6. That the auctioneers shall not purchase any of the lots themselves or through their agents without prior consent of the Administration. 7. That a railway officer shall be present at the auction sales to supervise them and to withdraw lots from auctions, if he is convinced that the price offered is not a fair one. 8. That the Auctioneers shall on the fall of the hammer for each accepted bid collect from the bidder earnest money as specified below as evidence of his good faith, and credit it to the Administration. If the bidder fails to confirm his bid by the payment of the earnest money, the bid shall be forthwith cancelled and the lot reauctioned. Should the Auctioneers finally accept a bid, without deposit of earnest money, they shall be liable to pay an equivalent amount to the Administration in the event of the bidder consequently failing to make payment within the said free time of delivery. The said earnest money shall not ordinarily be less than 10 per cent of the amount of the bid or one thousand rupees, whichever is lower. 9. That when bids are subject to subsequent acceptance by the Controller, the Auctioneers shall likewise collect earnest money as specified in Clause 8 and shall communicate to the bidders the decision of the Controller as soon as made known to them and credit the Administration with the earnest money deposited. 10. That the Auctioneers shall within 24 hours of auction sale submit lists showing the bids obtained one to the Controller and two to the Chief Accounts Officer Stores Accounts Section, and within 7 days after the completion of each auction sale or within 7 days after the Controller has made known to the Auctioneers his decision on bids subject to his acceptance the Auctioneers shall furnish to the Controller all such further information concerning the same and the purchasers as may be required, and shall within 7 days from the date of expiry of the notified free time of delivery of the sold materials or articles, provided the verified list from the District Controller of Stores of the Railway Administration showing the actual weights delivered is in their possession, submit the accounts of such sale separately to the Controller and the Chief Accounts Officer, and shall furnish the Controller with the Chief Accounts Officer's receipts for such proceeds as supplied by the purchaser. That the Auctioneers shall only be entitled to be paid commission on the gross proceeds of sale, on the sale being completed, as specified in Schedule I hereto annexed. But when a reserve price is fixed or when bids are subject to subsequent acceptance by the Controller, the Auctioneers shall not be entitled to commission on lots not sold or not sanctioned to be sold. Provided that commission as aforesaid shall be payable in the event of resale of materials or not sanctioned to be sold. Provided that commission as aforesaid shall be payable in the event of resale of materials or articles due to any cause whatsoever. Provided farther that the Auctioneer shall not get any commission where the purchaser fails to complete the sale and the ernest money or any further sum laid by him on account of the price of the goods sold is forfeited under Clause 8 & 9 thereof or under the conditions of sale mentioned in Clause 2 hereof. 12. That the Auctioneers shall ordinarily submit their bills to the Railway Administration for such commission and shall obtain payment, there of, and not deduct the same from the sums realised from the purchaser of the auctioned materials. 13. That the auctioned materials shall not be removed from the railway premises until after a receipt from the Railway Administration for the full amount of the sale is tendered in evidence of payment by the Auctioneers at the time of effecting delivery of the materials. APPENDIX X GENERAL CONDITIONS OF SALE BY AUCTION (Vide Paragraph 2414-S) 1. (a) The highest bidder for each lot shall, subject to the conditions hereinafter stated, be the Purchaser thereof and in the event of any dispute arising out of or relating to any bid, the lot in respect of which the dispute arises, shall be put up for sale again immediately at the last undisputed bidding. (b) The bids made by the bidders shall be irrevocable. The highest bid if acceptable is normally accepted on the spot. If it is not accepted on the spot but is reserved for consideration by the Railway Administration, the highest bidder shall then keep his bid open for acceptance by the Railway administration for a period of days excluding the date of auction. The Railway administration reserves the right to reject without assigning any reason therefor, any bid before its acceptance. (c) The Railway administration or the auctioneer with the approval of the representative of the Railway Administration supervising the auction, shall be entitled to withdraw any for before or during the auction sale or refuse to accept the bid made by the bidder without assigning any reason therefor. (d) Any person bidding in the auction shall be deemed to be aware of the terms and conditions of auction sale, as also the location aud condition of the material being sold and shall be deemed to have agreed to such terms and conditions. (e) The highest bidder shall be on the fall of the hammer, in addition to giving his name and correct address to the auctioneer deposit % of the bid money as earnest money. The earnest money deposit may be in one or more of the acceptable forms namely, deposit at call receipt/ demand draft/pay order/cash. The modes of payment other than in cash shall be either of the State Bank of India or any of the Nationalised Banks. 2. (a) The amount so deposited after acceptance of the bid on the spot, shall remain with the Railway Administration as earnest money till full payment of the balance bid money as stipulated in clause 4(a) has been made, whereafter it will be retained and adjusted as part of the total bid money. (b) Where, however, the highest bid is not accepted on the spot but is reserved for consideration of the Railway administration vide clause 1{b) above, the earnest money deposit shall be forfeited if the bidder unilaterally withdraws, amends; impairs or derogates from his bid fin any respect within the period of validity of the bid. If the bid reserved for consideration is finally accepted by the Railway administration, the earnest money deposit will be retained and adjusted as part of the bid money, if the bid is not finally accepted by the Railway administration the earnest money deposit made by the bidder shall be refunded to him. No interest shall be payable on such refunds. (c) The property in the goods or material sold shall not be deemed to pass to the concerned successful bidder until and unless the balance of the bid money after adjusting the earnest money deposit has been paid to the Railway administration and the auctioneer has issued the delivery order in favour of the successful bidder. 3. If the Purchaser makes defaults in complying with any of the conditons aforesaid, then the lot or lots in respect of which such default is made may, if the Auctioneer thinks fit, be immediately put up again for sale and in such an event if a lower price is offered and accepted for the said lot, then the difference in price thereof shall be debit due by the Purchaser in default to the Railway Administration in the alternative the Railway Administration will be entitled to due the Purchaser in default for the price of said lot and the Purchaser shall have no right to claim that the said lot must be sold again and the difference between the offer made by him are re-sale price of the lot alone be recovered from him. 4. (a) The balance of the bid money shall be paid by the Purchaser to the Railway Administration within....................days of the Sale (including the day of auction sale) or of the date of intimation to him that the Railway Administration has accepted the bid. The payment shall be made in a Cash Office of the Railway Administration and not at a Railway Station. Payment may be made in the form of Demand Draft/Deposit-at-Call Receipt Pay order/Cash. The Demand Draft /Deposit at Call Receipt/Pay order should be either/from the State Bank of India or any of the Nationalised Banks. A receipt for the payment, on realisation, will be furnished to the Purchaser for the amount, signed by the Treasurer of the Railway or such other official as may be designated for the purposes by the Railway Administration. The goods sold may be removed from the premises only on production of the said receipt and a Delivery Order from Auctioneer, to such officer of the Railway Administration as may be incharge of the material. (b) If the Purchaser fails to pay the said balances of the price in the manner aforesaid, the earnest money paid by him shall stand forfeited to the Railway Administration. The lot or lots in respect of which forfeiture has been made, shall be deemed to have been abandoned by the Purchaser to all intents and purpose and may be re-auctioned at the discretion of the Railway Adminisitraton at any subsequent sale without reference to the Purchaser concerned and without incurring any liability whatsoever in respect thereunder. 5. No delivery of goods or materials sold will be given on Sundays, Gazetted holidays or orthe holidays observed by the Government of India Ministry of Railway. Goods or materials sold shall be removed by the Purchaser within................days of the issue to him of the receipt for the balance of the price paid by him. Goods or materials not removed within the said period shall remain at the Purchaser's risk until removal and the Railway Administration will be entitled to charge the Purchaser ground rent for the godown or store room in which the goods or materials are stored which may be recovered by the Railway Administration from the Purchaser before removal of the said goods or materials and in the event of default in payment thereof the Railway Administration at the discretion will be entitled to order the resale the said goods or materials and forefeit the bid money or the price, if any, paid by the Purchaser. Provided that the Railway Administration does not guarantee to deliver the goods or materials sold within any specified time, and if due to any default in this respect on the part of the Railway Administration the Purchaser is unable to remove the goods or material within the specified period, then the Railway Administration shall extend the period therefore and in such an event if the goods and materials are removed by the Purchaser within the extended period, then he will not be liable to pay any ground rent or any other charge and the Railway Administration will not be entitled to order the sale of the goods or materials or forfeit the bid Money or the price if may paid by the Purchaser.
