CA 1 due date is 7/02/25 and CA 2 is due on the 7 /03/25 CA 1 (a) Ms. Mutinta Chembe was a promoter of a company called Clay Colours Limited which is in the business of internal decorations. A few months before the registration of the Company, Ms. Chembe signed a contract on behalf of Clay Colours Limited for the purchase of several pieces of furniture from Chembe Furniture Limited, a company in which she is a shareholder and a director. After the directors of Clay Colours Limited were appointed, they refused to honour the contract arguing that the whole transaction was improper. You are in the Administrative board for Clay Colours Limited and have been requested to advise the directors correctly before the matter becomes a potential litigation risk. Prepare the legal opinion. Making reference to one case law as well as relevant provisions of the Companies Act of 2017. [10 marks] N:B The answer to this question must only be two pages. CA 1(b) Brian Zulu, a Zambian national, won the lottery to become a Canadian citizen. He has been in Canada for the past three (3) years. He has now realized that it is becoming increasingly difficult for him to manage the commercial property and the three (3) residential properties he left in Lusaka, Zambia, because his cousin Benson Zimba, whom he had authorized to be collecting rentals from the tenants on his behalf was not depositing the money in his bank account. He is fed up and wants to sell all the properties but does not want to waste time and money coming to Zambia. He has now approached you for advice on how he should proceed. Advise Brian Zulu and discuss the legal principles involved. [10 marks] N:B The answer to this question must also only be two pages. The firm has carried on business under the two remaining partners, Mwamba Mulenga and Inonge Sililo. Three months ago, Mwamba Mulenga and Inonge Sililo ordered new office equipment using old notepaper bearing the names of all three partners. The firm is unable to pay the supplier, who is threatening to sue John Banda for the amount owing. Explain the legal position to John Banda, bearing in mind that, as its name indicates, Mwamba Mulenga & Company is an unlimited partnership.
