      • Non-profit organizations.
    • Specific Exemptions:
      • Unsolicited calls from consumers.
      • Calls placed by consumers responding to a catalog meeting specific requirements.
      • Most business-to-business calls, unless they involve retail sales of nondurable office or cleaning supplies, or solicit sales or charitable contributions from employees.
      • Calls in response to general media advertising (with some exceptions).
      • Calls in response to direct mail advertising (with some exceptions).

    Exemptions Explained

    • Unsolicited Calls from Consumers: Calls initiated by consumers without any inducement from the seller or telemarketer are exempt. However, upsells during these calls are covered by the TSR.

    • Calls Made in Response to Direct Mail Advertising: Calls responding to direct mail solicitations that clearly disclose required information are generally exempt. However, there is no exemption for calls responding to solicitations involving credit card loss protection, credit repair, recovery services, advance-fee loans, investment opportunities, prize promotions, debt relief services, franchises, or business opportunities.
    • Upselling: Any upselling activity following a transaction exempt from the TSR is subject to the TSR.

    Telemarketing Sales Rule (TSR) Exemptions

    • The Telemarketing Sales Rule (TSR) has certain exemptions for certain types of calls and transactions.

    General Media Exemption

    • If a product and an upsell are prominently featured in the advertisement, both the product and the upsell are exempt from the TSR.

    Partial Exemptions

    • Calls related to 900-Number pay-per-call services, franchises and business opportunities, and transactions involving face-to-face sales presentations are partially exempt from the TSR.

    900-Number Services

    • Sellers of pay-per-call services subject to the FTC's 900-Number Rule are exempt from most provisions of the TSR.
    • Still, these sellers must comply with the TSR by not calling numbers on the National Do Not Call Registry, denying or interfering with a person’s right to be placed on any Do Not Call Registry, calling outside permissible calling hours, placing robocalls to consumers who have not agreed to accept them, abandoning calls, failing to transmit Caller ID information, threatening or intimidating a consumer or using obscene language, causing any telephone to ring or engaging a person in conversation with the intent to annoy, abuse, or harass the person called.

    Franchises & Business Opportunities

    • Sellers and telemarketers selling franchises subject to the Franchise Rule or business opportunities subject to the Business Opportunities Rule must not call numbers that are on the National Do Not Call Registry, deny or interfere with a person’s right to be placed on any Do Not Call Registry, call outside permissible calling hours, place robocalls to consumers who have not agreed to accept them, abandon calls, fail to transmit Caller ID information, threaten or intimidate a consumer or use obscene language, or cause any telephone to ring or engage a person in conversation with the intent to annoy, abuse, or harass the person called.

    Face-to-Face Sales Presentations

    • The TSR generally does not cover telephone transactions where the sale of goods or services or a charitable contribution is not completed until after a face-to-face presentation by the seller or charitable organization, and the consumer is not required to pay or authorize payment until then.
    • This exemption applies to transactions where a face-to-face presentation occurs before the phone call or vice versa.
    • It is crucial that there is direct and substantive contact between the consumer and seller during the face-to-face meeting.

    Sellers & Telemarketers Disclosure Requirements

    • Sellers and telemarketers are required to disclose material information about goods or services before the consumer pays.

    Material Information Categories

    • The TSR requires sellers and telemarketers to disclose material information in the following categories:
      • Cost and Quantity: The total cost, installment payments, and total quantity of the goods the consumer must pay for and receive.

      • No-Refund Policy: Whether all sales are final or if refunds, cancellations, exchange, or repurchases can be made.
      • Prize Promotions: The odds of winning the prize(s), how to participate without purchase or payment, and any material costs or conditions to receive the prize.
      • Credit Card Loss Protection: Any limitations on a cardholder’s liability under federal law for unauthorized use of a credit card.
      • Negative Option Features: The charges that will be submitted for payment, the dates of the charges, and the specific steps the customer must take to avoid the charges.

    Disclosing Material Information

    • Sellers and telemarketers can provide material information orally or in writing as long as it is clear and conspicuous.
    • This means the information must be presented in a way that is difficult to miss and easily noticed and understood.
    • When provided in writing, it must be printed in the same language(s) as the sales offer(s) in a type size that a consumer can readily see and understand, have the same emphasis and degree of contrast with the background as the sales offer, and not be buried on the back or bottom, or in unrelated information that an ordinary consumer wouldn’t think important enough to read.
    • When disclosures are oral, they must be at an understandable speed and pace, in the same language(s) and the same tone and volume as the sales offer(s) so that ordinary consumers can easily hear and understand them.

    Negative Option Features

    • Negative option features include free-to-pay conversion offers and continuity plans.
    • Sellers must disclose the charges, dates of the charges, and the specific steps the customer must take to avoid the charges.

    Providing Material Information

    • Sellers and telemarketers must provide the required material information before the consumer pays for the goods or services or makes a charitable contribution.

    Clear and Conspicuous Disclosures

    • Sellers and telemarketers are required to disclose the material information in a clear and conspicuous manner.
    • This means disclosures must be presented in a way that is difficult to miss and easily noticed and understood by consumers.
    • Requirements vary depending on whether the disclosures are oral or written.

    Telemarketing Sales Rule (TSR) - Payment Disclosures

    • Sellers must state a specific date or an approximate date for payment.
    • The approximate date must give the consumer reasonable notice of when to expect the debit or charge.
    • Sellers must disclose how consumers can avoid charges. Stating a toll-free number for cancellation is insufficient; the number must be provided.

    Debt Relief Services - Disclosure Requirements

    Prompt Oral Disclosures in Outbound Sales Calls

    • Telemarketers must disclose four items of information before any sales pitch:
      • The identity of the seller.
      • Statement that the call is for sales.
      • Nature of the goods or services being offered.
      • If a prize promotion, stating purchase is not required to enter or win.
    • Upselling transactions require disclosures if the information differs from the initial disclosures or are not required in the initial transaction.
    • If a second seller is involved, the identity of the second seller must be disclosed.

    Prompt Oral Disclosures in Campaigns to Solicit Charitable Contributions

    • Telemarketers must disclose two items of information before soliciting charitable contributions:
      • The identity of the charitable organization.
      • Statement that the purpose of the call is to solicit a charitable contribution.

    Multiple Purpose Calls

    • If a call involves both sales and another activity like a prize promotion, the four sales disclosures must be made promptly before the other portion of the call.
    • In calls with charitable solicitations and prize promotions, the two charitable solicitation disclosures must be made before the other portion of the call.

    Misrepresentations Prohibited

    • Sellers cannot make false or misleading statements to induce payments for goods, services, or charitable contributions.
    • Prohibited misrepresentations include:
      • False claims of needing a consumer's bank account number for identification, when it will be used for payment.
      • Lying about wholesale prices for precious metals.
      • Claiming a charitable contribution benefits the charity 100% when it only goes to the charity 30%.
    • Misrepresentations regarding the following are also prohibited:
    • Cost and Quantity: Falsely representing the total cost or quantity of goods or services.
    • Material Restrictions, Limitations, or Conditions: Concealing material restrictions on purchasing, receiving, or using goods or services.
    • Performance, Efficacy, or Central Characteristics: Misrepresenting the performance, efficacy, nature, or key traits of goods or services.
    • Refund, Repurchase, or Cancellation Policies: Misleading consumers about the terms and conditions of refund, repurchase, or cancellation policies.
    • Material Aspects of Prize Promotions: Lying about the odds of winning, the nature/value of a prize, or the requirement of purchase to win.
    • Material Aspects of Investment Opportunities: Providing false information about the risks, liquidity, earnings potential, or profitability of an investment.
    • Affiliations, Endorsements, or Sponsorships: Falsely claiming affiliation with or endorsement by any person, organization, or government.
    • Credit Card Loss Protection: Misrepresenting the need for credit card loss protection, given existing federal protections.
    • Negative Option Features: Misrepresenting the terms of negative option features, including the steps to avoid charges.
    • Debt Relief Services: Misrepresenting the benefits of debt relief services, including the percentage of debt savings, time needed for results, or effectiveness.

    Prohibited Misrepresentations in Charitable Solicitation Calls

    • Nature, Purpose, or Mission of the Entity: Misrepresenting the nature, purpose, or mission of a charitable organization.
    • Tax Deductibility: Misrepresenting the tax deductibility of a donation or falsely implying that the organization is tax exempt.
    • Purpose of a Contribution: Disclosing a misleading purpose for the contribution, such as stating it will benefit sick children locally when this is not accurate.
    • Percentage or Amount of Contribution: Misrepresenting the percentage or amount of a contribution that goes to the charity or program.

    Telemarketing Sales Rule (TSR) Requirements

    • Telefunders must truthfully disclose the percentage or amount of a donation that goes to a charitable organization or program when asked by a potential donor.
    • Telefunders cannot misrepresent any material aspects of a prize promotion related to charitable solicitations. This includes making false statements that might influence a donor's decision to contribute.
    • Telefunders cannot misrepresent their own or a charitable organization's affiliation, endorsement, or sponsorship by anyone.
    • The TSR requires "express verifiable authorization" for payment methods other than debit or credit cards. This protects consumers from unauthorized charges.
    • Remotely created payment orders, remotely created checks, cash-to-cash money transfers, and cash reload mechanisms are prohibited for both inbound and outbound telemarketing under the TSR.
    • The "express verifiable authorization" requirement does not apply to conventional checks, money orders, cash, gift certificates, or direct billing. These payment methods have established consumer familiarity and risk understanding.

    • Software providers who supply tools for processing or submitting bank account information for payment may face inquiries about their role in ensuring authorization procedures comply with TSR requirements if the sellers or telemarketers using the software violate the TSR.
    • Authorization is considered verifiable if obtained through:
      • Advance written authorization from the consumer.
      • An audio recording of the consumer giving express oral authorization.
      • Written confirmation of the transaction sent to the consumer before submitting the charge for payment.

    Written Authorization Requirements

    • Any form of written authorization with a consumer's signature is acceptable.
    • Electronic signatures are valid if recognized as valid under applicable federal or state contract law.

    Oral Authorization Requirements

    • An audio recording of an oral authorization payment must clearly demonstrate:

      • The consumer received eight specific pieces of information about the transaction (listed below).
      • The consumer authorized the transaction based on the disclosures.
      • The consumer understood and acknowledged each term of the transaction, authorizing it.
    • The taped recording must demonstrate the consumer received each piece of information and acknowledged it, demonstrating understanding of the transaction.

    • The seller or telemarketer must clearly and conspicuously state, and the consumer must acknowledge:

      • The goods or services being purchased, or the charitable contribution for which payment authorization is sought.
      • The number of debits, charges, or payments (if more than one).
      • The date the debits, charges, or payments will be submitted for payment.
      • The amount of the debits, charges, or payments.
      • The customer or donor's name.
      • The customer or donor's billing information, identified in specific enough terms so the consumer understands which account will be used for the transaction.
      • A telephone number answered during normal business hours where the consumer can get answers to questions.
      • The date of the consumer's oral authorization.
    • The audio recording of the oral authorization must be made available upon request to the customer or donor and their bank or other billing entity.
