Types of Contracts

  • Executed vs. Executory: An executed contract already has its obligations discharged, while an executory contract still requires the fulfillment of some conditions before it becomes fully binding.
  • Unilateral vs. Bilateral: A unilateral contract occurs when only one party makes a promise, while in bilateral contracts, both parties make simultaneous promises.
  • Void, Voidable, and Valid Contracts: A void contract never existed due to illegality; a voidable contract can become valid if certain conditions are met; and a valid contract is enforceable under the law.

Remedies for Breach of Contract

If one party breaches a contract, the nonbreaching party may seek remedies such as:

  • Damages: Compensation for any losses suffered due to the breach.
  • Specific performance: Forcing the breaching party to perform exactly what was promised in the contract.
  • Termination: Ending the contract and seeking recovery from the breaching party for the work done so far.
  • Rescission: Undoing the entire contract. This may result in returning all benefits received back to the original state.
