Property Policyholder Notice POLICYHOLDER NOTICE - COUNTRYWIDE IMPORTANT INFORMATION NOTICE - OFFER OF TERRORISM COVERAGE; DISCLOSURE OF PREMIUM THIS NOTICE DOES NOT FORM A PART OF THE POLICY, GRANT ANY COVERAGE OR CHANGE THE TERMS AND CONDITIONS OF ANY COVERAGE UNDER THE POLICY. As used herein, 1) “we” means the insurer listed on the Declarations or the Certificate of Insurance, as applicable; and 2) “you” means the first person or entity named on the Declarations or the Certificate of Insurance, as applicable. You are hereby notified that under the Terrorism Risk Insurance Act, as extended and reauthorized ("Act"), you have a right to purchase insurance coverage of losses arising out of acts of terrorism, as defined in Section 102(1) of the Act, subject to all applicable policy provisions. The Terrorism Risk Insurance Act established a federal program within the Department of the Treasury, under which the federal government shares, with the insurance industry, the risk of loss from future terrorist attacks. This Notice is designed to alert you to coverage restrictions and to certain terrorism provisions in the policy. If there is any conflict between this Notice and the policy (including its endorsements), the provisions of the policy (including its endorsements) apply. CHANGE IN THE DEFINITION OF A CERTIFIED ACT OF TERRORISM The Act applies when the Secretary of the Treasury certifies that an event meets the definition of an act of terrorism. Originally, the Act provided that to be certified, an act of terrorism must cause losses of at least five million dollars and must have been committed by an individual or individuals acting on behalf of any foreign person or foreign interest to coerce the government or population of the United States. However, the 2007 re- authorization of the Act removed the requirement that the act of terrorism must be committed by or on behalf of a foreign interest, and now certified acts of terrorism may encompass, for example, a terrorist act committed against the United States government by a United States citizen, when the act is determined by the federal government to be "a certified act of terrorism." In accordance with the Act, we are required to offer you the ability to purchase coverage for losses resulting from an act of terrorism that is certified under the federal program. The other provisions of this policy, including nuclear, war or military action exclusions, will still apply to such an act. DISCLOSURE OF FEDERAL PARTICIPATION IN PAYMENT OF TERRORISM LOSSES The Department of the Treasury will pay a share of terrorism losses insured under the federal program. In 2015, the federal share equals 85% of that portion of the amount of such insured losses that exceeds the applicable insurer retention, and shall decrease by 1 percentage point per calendar year until equal to 80%. LIMITATION ON PAYMENT OF TERRORISM LOSSES If aggregate insured losses attributable to terrorist acts certified under the Terrorism Risk Insurance Act exceed $100 billion in a calendar year (January 1 through December 31), the Treasury shall not make any payment for any portion of the amount of such losses that exceeds $100 billion. Further, this coverage is subject to a limit on our liability pursuant to the federal law where, if aggregate insured losses attributable to terrorist acts certified under the Act exceed $100 billion in a calendar year (January 1 through December 31) and we have met our insurer deductible under the Act, we shall not be liable for the payment of any portion of the amount of such losses that exceeds $100 billion. In such case, insured losses up to that amount are subject to pro rata allocation in accordance with procedures established by the Secretary of the Treasury. Emergency Responder Service Charge We will pay for your liability for fire department, police department, ambulance company or EMT charges incurred to save or protect Covered Property from loss or damage that has occurred or is occurring as a result of a Covered Cause of Loss, if such emergency responder charges are: (1) Assumed by contract or agreement prior to loss; or (2) Required by local ordinance. No Deductible applies to this Additional Coverage. The most we will pay under this Additional Coverage is subject to the Aggregate Limit of Insurance as shown in the above SCHEDULE. 2. The last paragraph of d. Pollutant Clean-up And Removal is deleted and replaced by the following: The most we will pay under this Additional Coverage for each described premises is $100,000 for the sum of all covered expenses arising out of Covered Causes of Loss occurring during each separate 12-month period of this policy. 3. Subparagraph (5) under e. Increased Cost of Construction is deleted and replaced by the following: (5) Under this Additional Coverage, we will not pay for: (a) The enforcement of or compliance with any ordinance or law which requires demolition, repair, replacement, reconstruction, remodeling or remediation of property due to contamination by “pollutants” or due to the presence, growth, proliferation, spread or any activity of “fungus”, wet or dry rot or “microbes”; or (b) Any costs associated with the enforcement of or compliance with an ordinance or law which requires any insured or others to test for, monitor, clean up, remove, contain, treat, detoxify or neutralize, or in any way respond to, or assess the effects of "pollutants", "fungus", wet or dry rot or “microbes”. The following coverages are added to A.4. Additional Coverages: Burglary Damage to Building (1) We will pay for direct physical loss or damage to a building: (a) You occupy but do not own; and (b) For which you are contractually liable, Caused by or resulting from burglary or any attempt at burglary in that part of the premises which you occupy. (2) This Additional Coverage does not apply: (a) To ensuing loss or damage caused by or resulting from a cause of loss that is not a Covered Cause of Loss; or (b) If a Limit of Insurance for Building applicable to the premises where the loss or damage occurred is shown in the Declarations. (3) The most we will pay under this Additional Coverage is $25,000 in any one occurrence. Fire Extinguisher Systems Expense (1) We will pay: (a) The cost of recharging or replacing, whichever is less, your discharged fire extinguishers and fire extinguishing systems (including hydrostatic testing if needed); and (b) For direct physical loss or damage to Covered Property if such loss or damage is the result of an accidental discharge of chemicals from a fire extinguisher or fire extinguishing system at a described premises. (2) No coverage will apply if the fire extinguishing system is discharged during installation or testing. (3) The most we will pay under this Additional Coverage is $5,000 in any one occurrence. Government Confiscation (1) We will pay for direct physical loss or damage to Your Business Personal Property caused by or resulting from “government confiscation”. (2) The most we will pay under this Additional Coverage is $100,000 in any one occurrence (3) Solely for the purposes of this Additional Coverage, Exclusion B.1.c. of the Causes of Loss – Special Form does not apply. Green Standards (1) Subject to the applicable Limit of Insurance, if Covered Property is repaired or replaced as a result of direct physical loss or damage by a Covered Cause of Loss, we will also pay the following expenses if such expenses are incurred as a necessary part of the repair or replacement of the Covered Property: (a) Hiring professionals accredited pursuant to “green standards” to participate in the repair or replacement of the Covered Property; (b) Registering and certifying the repaired or replaced Covered Property pursuant to “green standards”; (c) Disposing of debris, certified pursuant to “green standards”, at recycling facilities, if such debris can be recycled; and (d) Ventilating the repaired or replaced Covered Property, in a manner consistent with “green standards”. (2) When direct physical loss or damage is caused by or results from direct physical loss or damage that is covered under this policy and direct physical loss or damage that is not covered under this policy, the Additional Coverage will not apply to “green standards” costs resulting from the damage that is not covered under this policy. Instead, we will pay a proportion of such loss, meaning the proportion that the covered direct physical loss or damage bears to the total direct physical loss or damage, unless the “green standards” apply solely to that portion of the Covered Property which incurred the covered direct physical loss or damage. (3) This Green Standards Additional Coverage does not include any increase in costs, loss or damage attributable to any “green standards” you did not comply with before the loss, regardless of when such “green standards” became effective. (e) We will not pay more than the total “net leasehold interest” at the time of the cancellation of the lease. But if your lease is cancelled and your landlord lets you continue to use your premises under a new lease, we will not pay more than: i. The rent you will pay under the new lease; minus ii. The rent you would have paid had the lease not been cancelled immediately preceding the direct physical loss or damage. (f) We will not pay under this Additional Coverage if: i. The premises where the lease is cancelled has been vacant for more than 60 consecutive days at the time of direct physical loss or damage; and ii. You have not entered into an agreement to sublease the premises. (6) The most we will pay under this Additional Coverage in any one occurrence is subject to the Basket Aggregate Limit of Insurance as shown in the above SCHEDULE. Any person who had custody of the Covered Property at the time the theft was committed; or vi. Any person involved in the crime. (b) No reward will be reimbursed unless and until the person(s) committing the crime is (are) convicted or the Covered Property is returned. Appurtenant Buildings You may extend the insurance provided by this Coverage Form to apply to direct physical loss or damage by a Covered Cause of Loss to buildings you own that are appurtenant to and at the same premises as a building described in the Declarations and: (1) Separated from it by clear space; or (2) Attached to it only by a fence, utility line or similar connection. This Coverage Extension does not apply to land, water, buildings that you rent or hold for rental to any person who is not a tenant of the described building; or any other structure that is not a building. If the “electronic data” is not replaced or reproduced, we will pay the cost of the value of the “media” with no stored data. (c) “Media” will be the cost to repair or replace the “media” with substantially identical property. (3) This Coverage Extension does not apply to property you hold for sale or distribution or that you manufacture. However, the value of “Fine Arts” of others in your care, custody or control will not be greater than the amount for which you are contractually liable. For “fine arts” more than 100 feet from a described premises, the most we will pay is $25,000 in any one occurrence. Tents You may extend the insurance that applies to your Building to apply to tents used in your business that are affixed to realty located on or within 100 feet of the described premises. Unless otherwise stated, the Basket Aggregate Limit of Insurance applies separately at each described premises shown in the Declarations. At the time of loss or damage, the first Named Insured may elect to apportion such Basket Aggregate Limit of Insurance to one or any combination of the Coverages that are shown as subject to the Basket Aggregate Limit of Insurance in the above SCHEDULE. However, under no circumstances will the aggregate apportionment be permitted to exceed the Basket Aggregate Limit of Insurance. For the purpose of the application of this Basket Aggregate Limit of Insurance, all property at one premises, regardless of the number of buildings at that premises, shall constitute a single premises. G. The following is added to Section D. Deductible: The Additional Coverages and Coverage Extensions described in this endorsement are subject to the Building Deductible or to the deductible applicable to Your Business Personal Property if there is no Building coverage, unless stated otherwise. Property Endorsement Economic and Trade Sanctions In accordance with laws and regulations of the United States concerning economic and trade embargoes, this policy is void ab initio (void from its inception) with respect to any term or condition of this policy that violates any laws or regulations of the United States concerning economic and trade embargoes including, but not limited to the following: a. Any insured, or any person or entity claiming the benefits of an insured, who is or becomes a Specially Designated National or Blocked Person or who is otherwise subject to U.S. economic or trade sanctions; b. Any claim or suit that is brought in a Sanctioned Country or by a Sanctioned Country Government, where any action in connection with such claim or suit is prohibited by U.S. economic or trade sanctions; c. Any claim or suit that is brought by any Specially Designated National or Blocked Person or any person or entity who is otherwise subject to U.S. economic or trade sanctions; d. Property that is located in a Sanctioned Country or that is owned by, rented to or in the care, custody or control of a Sanctioned Country Government, where any activities related to such property are prohibited by U.S. economic or trade sanctions; or e. Property that is owned by, rented to or in the care, custody or control of a Specially Designated National or Blocked Person, or any person or entity that is otherwise subject to U.S. economic or trade sanctions. As used in this policy a Specially Designated National or Blocked Person is any person or entity that is on the list of Specially Designated Nationals and Blocked Persons issued by the U.S. Treasury Department's Office of Foreign Asset Control (O.F.A.C.) as it may be from time to time amended. As used in this policy a Sanctioned Country is any country that is the subject of trade or economic embargoes imposed by the laws or regulations of the United States of America. I. Under Section H. Definitions, the following changes apply: 1. The term computer programs means a set of related electronic instructions which direct the operations and functions of a computer or device connected to it, which enable the computer or device to receive, process, store, retrieve or send data and includes programming records used for electronic data processing or electronically controlled equipment. “Electronic Data” does not include “Records of Accounts Receivable”. “Employee tools” means tools that are owned by the insured’s employees (including leased and temporary employees). “Fine arts” means: a. Paintings, rare books, sculptures, manuscripts, pictures, prints, etchings, drawings, tapestries, bronzes, statuary, potteries, porcelains, marbles and other bona fide works of art; or b.
