Jacob Bigler Strat 392-002 Eide Bailly - Corporate Governance Strategies Corporate Legal Structure ○ LLP - Limited Liability Partnership Articles of Incorporation ○ Because Eide Bailly is a private partnership, there are no articles of incorporation. I tried to find information on their partnership agreement, but I couldn’t find it. Date of Incorporation ○ Because they aren’t incorporated, I found tried to find the date they were founded. I couldn’t find the exact date, but I know that Eide Bailly is the product of a merger of two companies, Eide Helmeke & Co and Charles Bailly & Co. They merged in 1998. One of them goes as far back as 1917, so Eide Bailly claims to have been established in 1917. I know this because I am currently building one there! ○ I don’t know if you can count this, but Eide Bailly also has industry knowledge, such as internal processes, client engagement processes, their internship program called Future Consultants, and many others. Analysis Eide Bailly’s governance structure is unique, as it operates as a Limited Liability Partnership (LLP). This private partnership model allows the firm to remain independent and prioritize collaboration among its partners, who share accountability for the company’s success. Unlike publicly traded corporations, Eide Bailly isn’t subject to shareholder pressures, giving it the flexibility to focus on long-term strategies. However, this structure could slow decision-making or create challenges when aligning the interests of all partners, especially as the firm continues to grow. The leadership team and board of directors are thoughtfully organized to support strategic objectives. Leadership roles are spread across critical areas, such as growth, technology, and talent management, highlighting the company’s focus on staying competitive in a changing industry. For example, a Chief Growth Officer and Chief Technology Officer signal Eide Bailly’s commitment to innovation and market expansion. The board, composed of experienced partners and market leaders, ensures a balance of strategic oversight and practical expertise. Eide Bailly also owns valuable intellectual property (IP) assets, which strengthen its market position. These include trademarks for its logo, name, and branding, as well as copyrights on marketing materials and client communications. More notably, Eide Bailly develops custom software and proprietary products to serve its clients better. This IP enhances its ability to differentiate itself in a competitive market. In addition, the firm’s industry-specific knowledge, such as internal processes and its Future Consultants internship program, represents intangible assets that further support its success. Conclusion Eide Bailly’s LLP structure allows for flexibility and a collaborative culture, but it could pose challenges in efficiency as the firm grows. Its leadership team and board align well with strategic priorities, while its IP portfolio—including trademarks, custom software, and industry expertise—adds significant value. Together, these elements position Eide Bailly as a strong competitor in the professional services industry, balancing tradition with innovation.
