Study Notes
Understanding Share Capital
Share capital serves as the foundation of a company's ownership structure, dividing it into units called shares that can be bought and sold. Shareholders acquire shares in exchange for their investment in a corporation, with each share granting them a specific number of voting rights and a proportional share in the company's earnings and assets.
Authorized Share Capital
Authorized share capital refers to the maximum number of shares a company is allowed to issue according to its articles of incorporation. Companies may set a higher authorized share capital limit to be used for future expansion or to allow flexibility in fundraising efforts. The authorized share capital is divided into different classes of shares, each with specific rights and privileges for the shareholders.
Issued Share Capital
Issued share capital, on the other hand, denotes the number of shares that have already been sold to shareholders. The amount raised from the sale of issued shares is a crucial source of capital for a company, helping finance its operations, expansion, or other projects.
Share Premium
Share premium is the difference between the par value of a share and its issue price. When a company issues shares at a price higher than their par value, the excess amount goes towards the share premium account. Share premium is considered an additional paid-in capital and is not a liability for the company.
Share premium is beneficial in several ways:
- It can be used to reduce the company's earnings in times of high profits.
- Share premium can be utilized to offset losses incurred by the company.
- Share premium helps to increase a company's equity capital base.
Understanding the concepts of authorized share capital, issued share capital, and share premium is essential when analyzing a company's financial health and its fundraising potential. Keeping track of the share structure and the company's capital base can provide valuable insights for investors and stakeholders alike. Nugent, J. (2022, December 16). What is Share Capital?
