Study Notes
General Principle (GP) 2: Particular Conditions Drafting
- Clarity and Unambiguity: Particular Conditions (PCs) must be drafted with clarity and without ambiguity.
- Clarifications and Inquiries: Clarifications of tender documents and answers to inquiries made during the tender period should be well-organized, consistent, and clearly referenced to the contract documents to avoid conflicts. Their precedence within the contract documents should be defined in a PCs sub-clause that amends the General Conditions (GCs) Sub-Clause 1.5.
- Changes to GCs: All changes to the GCs must be explicitly identified, referencing specific sub-clause numbers. The relationship between the new text and the original GCs sub-clause must be clearly stated (addition, omission, replacement, or amendment).
- Agreements and Understandings: All agreements and understandings between the Employer and Contractor made during the tender period must be documented, incorporated into the contract by Addenda, and referenced in the Letter of Acceptance and/or Contract Agreement. These agreements should have a defined place within the precedence of contract documents to avoid ambiguity.
- Deletions from GCs: Deletions from the GCs must be replaced by PCs that cover the same scope to avoid leaving roles, duties, obligations, rights, and risk allocation undefined. Consistency and integrity of the GCs should be maintained.
- Replacing Provisions with "Not Used": Deleting a provision from the GCs and replacing it with "not used" in the PCs is generally not compliant.
- Clear Instructions on Modifications: Clear instructions must be provided on how PCs clauses relate to GCs clauses (addition or replacement). If a PCs sub-clause amends a GCs sub-clause, it should be stated explicitly.
- Modifications Documented in Emails: Modifications made to the contract during tender negotiations documented only in emails, even if included in the list of contract documents, are inadequate if not incorporated into the Particular Conditions. Failing to do so could result in GCs provisions prevailing over intended modifications.
GP2: Clearly Drafted Particular Conditions
- Purpose: Ensure clear and unambiguous Particular Conditions (PCs) that avoid conflicts and ambiguity within the Contract.
- Requirement: PCs must clearly identify changes to the General Conditions (GCs) through specific sub-clause reference.
- Specificity: PCs sub-clauses need to explicitly describe the relationship to original GC sub-clauses (e.g., addition, omission, replacement, amendment).
- Consistency: Any deletions of GCs must be replaced with corresponding PCs, ensuring no gaps in roles, duties, obligations, rights, or risk allocation occur.
- Agreements and Understandings: All agreements during the tender period should be documented in Addenda, mentioned in the Letter of Acceptance, and incorporated into the Contract Agreement.
- Tender Document Clarifications: Clarifications and responses to inquiries during the tender period must be consistent with the Contract documents and address specific clauses to prevent conflicts.
- Precedence Definition: A PCs sub-clause must be included to clearly define the precedence of Contract documents, amending GCs Sub-Clause 1.5. This prevents ambiguity in the order of importance between different documents.
- Example of Non-Compliance: Simply replacing a GC provision with "not used" in the PCs is not acceptable.
- Clear Instructions on Relationship: It's vital to provide clear instructions on how PCs clauses relate to GCs, whether by addition or replacement. For example, if a PCs sub-clause amends a GC sub-clause, this relationship should be explicitly stated.
- Documented Modifications: Modifications made during tender negotiations should be documented in the PCs, not solely through emails. Failure to incorporate these modifications can lead to unintended consequences in the priority of Contract documents.
