    Business Structures

    • Sole Trader: A business owned and operated by one person.
      • Advantages: Low cost to start, simple to operate, complete owner control, less costly to operate than a company, no disputes with partners, owner keeps all profits, less government regulation, profits are taxed as personal income.
      • Disadvantages: Unlimited liability for business debts, end of business with owner's death, difficult to operate if sick, burden of management for the owner, difficult to raise finance for expansion.
    • Partnership: A business owned and operated by two or more people. There is a limit of 20 partners, with exceptions for certain professions.
      • Advantages: Low start-up costs, less costly to operate than a company, shared responsibility and workload, pooled funds and talent, minimal government regulation, no taxes on business profits (only personal income), business can continue after death of a partner.
      • Disadvantages: Personal unlimited liability, liability for all debts including partner's debts, possibility of disputes, difficulty in finding a suitable partner, divided loyalty and authority.
    • Incorporation: The process by which a business becomes a company, governed by the Commonwealth Corporations Act 2001 and administered by ASIC.
